Dear Customer:
You are in danger of having your water service disconnected. Please be advised that on
April 19, 2001 at 2:00 p.m. there will be a meeting of the Board of Directors of the South
Tahoe Public Utility District. The meeting is being held in the City Council Chambers, 1900
Lake Tahoe Blvd, South Lake Tahoe, California. At the meeting, staff will make a request
to the Board of Directors to authorize disconnection proceedings of your water service.
On January 26,2001, the District Inspectors notified you of the annual requirement to test
approved backflow assembly(ies) on the water service line to your property. To my
knowledge, this test has not been completed. If you have completed the test, please call
the District Inspections Department immediately, because we show no record of it. To
avoid disconnection proceedings, please have all required tests completed immediately
and send the necessary test reports to our office. The annual tests ensure the proper
operation of devices that protect the municipal water supply from potential sources of
backflow contamination. No further extensions can be granted.
As explained in your initial test due letter, the administrative costs of enforcement are now
being assessed to your account. All enforcement costs will be added to your regular water
account with the District. To avoid any further costs, your immediate attention is required.
You may appeal your case to the Board of Directors by attending a scheduled Board
meeting. If you plan to attend the meeting, please contact the Clerk of the Board no later
than April 1 0, 2001 at 530/544-6474.

As a courtesy to customers, the District sends an annual reminder of testing
re~uirements for backflow prevention assemblies. Please be informed that
your backflow assembly described below is due for its perodic test as
required by STPUD and California state law. I have enclosed a list of
certified cross-connection control testers for your use.
The tester you select will need to complete the necessary reports during the
test and provide copies of the test results to you, the Health Department,
and the Utility District, plus retain a copy for his files. If the test
discloses that the assembly is not operating properly, please have the
necessary repairs made and the assembly retested.
The test ensures the proper operation of backflow assemblies that protect
municipal water supplies from possible contamination. Please have all
testing completed by the due date listed below. Failure to comply could
result in interruption of water service and administrative costs. Thank you.

in the amount of $1.077.69
DISCUSSION: The itemized oarts of Change Order No.5 are as follows:
Part 1, in the amount of $712, is for a smaller muffler for the generator. The original
generator muffler was aooroximately 28" diameter and six feet long. The muffler was to be placed
inside the building, but due to staffs concerns regarding fire safety and working space, it was
decided to relocate the muffler outside of the structure. To satisfy the USFS and to reduce visual
imoacts, the contractor installed a much smaller (aporoximately 26" diameter x two feet long), more
exoensive muffler.
Part 2. in the amount of $365.69, is for a fabricated duct for the ventilation fan in the
chlorination room. This was required since staff directed the contractor to install the fan through
the wooden portion of the wall instead of the concrete stemwall along the base of the building. To
provide adequate removal of chlorine vaoors. a duct had to be fabricated and installed from the
fan location in the wooden portion of the wall down to near floor level.

DISCUSSION: Staff olans to replace an old bolted steel tank on Gardner Mountain with a
welded steel tank of the same size (210.000 gallons) atthe same location. The oroiectwill include
the reolacement of 720 LF of a-inch steel line with new 12-inch oioe from the tank to Gardner
Street to meet existing fire flow requirements on Gardner Mountain.
As Dart of the CEQA orocess. we have determined that this proiect will not have a significant
effect on the environment and that it is exempt from further analysis oer CEQA Section 15302.
This Categorical Exemption is orovided for certain proiects which involve the reolacement of
existing facilities. The attached Notice of Exemotion will be filed with the County and will be
available for review and comment for thirty days subsequent to the filing date.

to lease a portion of District-owned property. APN 25-091-15. in the annual amount of $3.500
DISCUSSION: In 1989 the District became the successor to a Memorandum of Understanding
between the U.S. Forest Service and the U.S. Postal Service in a land swap for the property at
the corner of Pioneer Trail and Black Bart. The MOU expired five years ago. without the U.S.
Postal Service or the District givina notice to terminate the agreement. When the District began
to consider its options for additional administrative space requirements. the site was an alternative
of the original "needs analysis" work. further delaying a new agreement. The District has a
fiduciary responsibility to its customers to collect an appropriate fee for the land where the U.S.
Postal Service's modular Neighborhood Delivery Center and driveway exist. The proposed
Ground Lease Agreement runs for five years beginning January 1. 2001 and endina December
31. 2005 at a rate of $3.500 per year. District legal counsel has reviewed the lease.

14. Improvements, additions and alterations made to the Demised Premises by the Postal Service. its subtenants. or

the elements or circumstances beyond the control of the Postal Service excepted. This provision shall not require the
replacement of trees, shrubs, ornamental vegetation. or any ather improvements that may have existed on the Demised
Premises prior to this Acreement.
15. 'Friable asbestos material' means any material containing more than 1 % asbestos by weight that hand pressure can
crumble, pulverize, or reduce to powder when dry. Sites cannot have contaminated sail, water or undisclosed
underground storage tanks.
Unless due to the act or negligence 01 the Postal SaNies, if contaminated soil, water, underground storage tanks or
piping or friable asbestos or any other hazardous/toxic materials or substances as defined by applicable L.ocal, State or
Federal law is SUbsequently identified on the premises, the Owner agrees to remove such materials or substances upon
notification by the U.S. Postal Service at Owner's sole cost in accordance With EPA and/or State guidelines. If the
Owner fails to remove the asbestos or hazardous/toxic materials or substances, the Postal Service has the right to

16. It is mutually understood that the Postal Service desires to place a modular building or trailer on the Demised
Premises. The modular building or trailer, all improvements incident thereto, and all fixtures, machinery, and equipment
added to the building, shall remain the personal property of the Postal Service and may be removed from the Demised
Premises only by the Postal Service, at any time consistent with the terms of this Agreement.
17. The terms and provisions of this Agreement and the conditions herein are binding on the Owner and all heirs,
executors, administrators, successors, and assigns.
18. The following additional provisions, modifications, riders, layouts, exhibits, and/or forms were agreed upon prior to
execution of this Agreement and are attached hereto and made a part hereof:

County and municipal laws, ordinances, or regulations which are applicable to the area
of operations covered by this lease.
THE UNITED STATES POSTAL SERVICE AGREES:
1. Development plans; layout plans; construction, reconstruction, or alteration of
improvements; or revision of layout or construction plans for this area must be
approved in advance and in writing by the South Tahoe Public Utility Dis:rict. Trees
or shrubbery cn the authorized site may be removed or destroyed only after the South
Tahoe Public Utility District has approved, and marked or otherwise designated that

A.1 DEFINITIONS
As used in this contract, the following .terms have the following

A.4 EXAMINATION OF RECORDS
a. The Postal Service and its authorized representatives will, until three
years after final payment under this contract, or for any shorter period
specified for particular records, have access to and the right to examine
any directly pertinent books, documents. papers, or other records of the
contractor involving transactions related to thiS contract.
b. The contractor agrees to include in all subcontracts under this
contract a provision to the effect that the Postal Service and its
authorized representatives will, until three years after final payment
under the subcontract, or for any shorter specified period for particular
records, have access to and the right to examine any directly pertinent
books, documents. papers, or other records of the subcontractor
involving transactions related to the subcontract. The term "subcontract"
as used in this clause excludes:
1. Purchase orders: and
2. Subcontracts for public utility services at rates established for
uniform applicability to the gene~al public

a The Postal Service may terminate this contract for default if. after
notice and a hearing, the Postal Service Board of Contract Appeals
determines that the contractor or the contractor's agent or other
representative -
1. Offered or gave a gratuity (such as a gift or entertainment) to an
officer or employee of the Postal Service; and
2. Intended by the gratuity to obtain a contract or favorable
treatment under a contract.
b. The rights and remedies of the Postal Service provided in this clause
are in addition to any other rights and remedies provided by law or under
thiS contract.
A.S CLAIMS AND DISPUTES
a. This contract is subject to the Contract Disputes Act of 1978 (41
U.S.C. 601-613) ("the Act").
b. Except as provided in the Act, all disputes arising under or relating to
this contract must be resolved under this clause.
c. "Claim," as used in this clause, means a written demand or written
assertion by one of the contracting parties seeking, as a matter of right,
the payment of money in a sum certain, the adjustment or interpretation
of contract terms, or other relief arising under or relating to this contract.
However, a written demand or written assertion by the contractor seeking
the payment of money exceeding $50,000 is not a claim under the Act
until certified as required by subparagraph d.2 below. A voucher,
invoice, or other routine request for payment that is not in dispute when
submitted is not a claim under the Act. The submission may be
converted to a claim under the Act by complying with the submission and

certification requirements of this clause, if it is disputed either as to
liability or amount or is not acted upon in a reasonable time.
d.
1. A claim by the contractor must be made in writing and submitted
to the contracting officer for a written decision. A claim by the
Postal Service against the contractor is subject to a written
decision by the contracting officer.
2. For contractor claims exceeding $50,000, the contractor must
submit with the claim a certification that -
(a) The claim is made in good faith;
(b) Supporting data are accurate and complete to the best of the
contractor's knowleage and belief; and
(c) The amount requested accurately reflects the contract
adjustment for which the contractor believes the Postal Service
is Iiaole.

(a) If the contrac-or is an individual, the certification must be

by Secretary of Labor rules, regulations, or orders issued under the
Executive order The contractor must take such action with respect to
any such subcontract or purchase order as the Postal Service may direct
as a means of enforcing the terms and conditions of this clause
(including sanctions for noncompliance), provided, however, that if the
contractor becomes involved in. or is threatened with, litigation as a
result, the contractor may request the Postal Service to enter into the
liligation to protect the interests of the Postal Service.
h. Disputes under this clause will be governed by the procedures in 41
CFR 60-1.1.
04.8 . AFFIRMATIVE ACTION FOR DISABLED VETERANS AND
VETERANS OF THE VIETNAM ERA
If this contract provides for payments aggregating $10,000 or more, the
following clause is applicable.
a. The contractor may not discriminate against any employee or
applicant because that employee or applicant is a disabled veteran or
veteran of the Vietnam era, in regard to any position for which the
employee or applicant is qualified. The contractor agrees to take
affirmative action to employ, advance in employment, and otherwise
treat qualified disabled veterans and veterans of the Vietnam era without

b. The contractor agrees that all suitable employment openings of the
contractor existing at the time of the execution of this contract or
occurring during its performance (including those not generated by this
contract and those occurring at an establishment of the contractor other
than the one where the contract is being performed, but excluding those
of independently operated corporate affiliates) will be listed at an
appropriate local office of the State employment service system where
the opening occurs. The contractor further agrees to provide such
reports to the local office regarding employment openings and hires as
may be required. State and local government agencies holding Postal
Ser/ice contracts of $10.000 or more will also list all their suitable
openings with the appropriate office of the State employment service.
c. Listing of employment openings with the employment service system
will be made at least concurrently with the use of any other recruitment
source or effort and will involve the normal obligations attaching to the
placing of a bona fide job order, including the acceptance of referrals of
veterans and non-veterans. The listing of employment openings does not
require the hiring of any particular applicant or hiring from any particular
group of applicants, and nothing herein is intended to relieve the
c:ntractor from any other requirements regarding nondiscrimination in
employment.
d. Whenever the contractor becomes contractually bound to the listing

Definitions
1. "All suitable employment openings" includes openings that occur
in the following job categories: production and non-productIOn.
plant and office; laborers and mechanics; supervisory and non.
supervisory; technical: and executive, administrative, and
professional openings as are compensated on a salary basis of
less than $25,000 per year. This term includes full-time
employment, temporary employment of more than three days'
duration, and part-time employment. It does not include
openings the contractor proposes to fill from within its own
organization or under a customary and traditional employer/union
hiring arrangement or openings in an educational institution that
are restricted to students of that institution. Under the most
compelling circumstances, an employment opening may not be
suitable for listing, including situations in which the needs of the
Postal Service cannot reasonably be otherwise supplied, when
listing would be contrary to national security, or when the
requirement of listing would otherwise not be in the best interests
of the Postal Service.
2. "Appropriate office of the State employment service" means the
local office of the Federal/State national systems of public
employment offices with assigned responsibility for serving the
area where the employment opening is to be filled.
3. "Openings the contractor proposes to fill from within its own
organization" means employment openings for which persons
outside the contractor's organization (including any affiliates,
subsidiaries, and the parent companies) will not be considered
and includes any openings the contractor proposes to fill from
regularly established "recall" lists.
4. "Openings the contractor proposes to fill under a customary and
traditional employer/union hiring arrangement" means
employment openings the contractor proposes to fill from union
halls as part of the customary and traditional hiring relationship
existing between it and representatives of its employees.
g. The contractor agrees to comply with the rules, regulations, and
relevant orders of the Secretary of Labor issued pursuant to the Vietnam
Era Veterans Readjustment Assistance Act of 1972, as amended.
h. In the event of the contractor's noncompliance with this clause.
action may be taken in accordan~ with the rules. regulations, and
relevant orders of the Secretary.
i. The contractor agrees to post in conspicuous places, available to
employees and applicants, notices in a form to be prescribed by the
Director, Office of Federal Contract Compliance Programs, provided by
or through the contracting officer. These notices state the contractor's
obligation under the law to take affirmative action to employ and advance

bankruptcy, whether voluntary or involuntary. the contractor will furnish,
by certified mail. written notification of the bankruptcy to the contracting
officer responsible for administering the contract. The notification must
be furnished within five days of the initiation of the bankruptcy
proceedings. The notification must include the date on which the
bankruptcy petition was filed. the court in which the petition was filed.
and a list of Postal Service contracts and contracting officers for all
Postal Service contracts for which final payment has not yet been made.
This obligation remains in effect until final payment under this contract.
A.10 RECORDING
This agreement or a memorandum hereof, must be recorded at the
expense of the Lessor. Such expense includes all fees required for or
incident to recording. If the Lessor fails to record the Lease, or a
memorandum thereof, the Postal Service may record the Lease or a
memorandum thereof, and deduct all costs associated therewith from
future rents.

SUBJECT: Grant of Easement; Pioneer Trail III Erosion Control Project
We have revised the above referenced Grant of Easement Agreement pursuant to Mr.
Bruce R. Lee's April 6, 2001 correspondence. A copy of the revised Grant of Easement
Agreement is attached to this memorandum. The revisions respond to the requested changes by
Mr. Lee, as discussed with you:
1. Section 2, page 2. The second to the last sentence of this section has been revised
to delete the reference to a specific date of the approved plans and specification. The wording is
slightly different than requested by Mr. Lee but we believe consistent with his request.
2. Section 12.13, page 6. We have added Mr. Lee's name and title to the Notice
provlSlon.
3. Page 12. The language for the Certificate of Acceptance has been revised in
accordance with the sample language provided by Mr. Lee.
When the Grant of Easement is finalized for signature, the following provisions of the

GRANT OF EASEMENT AGREEMENT
This Grant of Easement Agreement (Agreement) is made and entered into this _ day of
,2001, by and between the South Tahoe Public Utility District, a California Public
Agency formed in 1950 pursuant to the Public Utility District Act (District), and EI Dorado County
(County), at South Lake Tahoe, California, with reference to the following facts and intentions:
A. District is the owner of certain real property located in South Lake Tahoe, California,
as more particularly described in the attached Exhibit A, which is incorporated by this reference
(Property);
B. County proposes to construct certain erosion control improvements across a portion
of the Property; and
c. County desires to obtain an easement through the Property for erosion control
purposes, and the District desires to grant such an easement pursuant to the terms and conditions of
this Agreement.
NOW, THEREFORE, it is agreed as follows:
1. Grant of Easement. District grants to County a nonexclusive easement in gross,
over, across and through a portion of the Property as described in the attached Exhibits 1 and 2,
which are incorporated by this reference (Easement). The Easement shall be for purposes of
constructing, installing, maintaining, operating, inspecting, repairing, replacirig and removing such
storm drainage, erosion control and appurtenant improvements as County may from time to time
require, as well as for ingress to and egress from such improvements by foot or surface motor
vehicles as may be necessary or appropriate.

2. Use of Easement. The Easement shall be for use by County and its agents and
employees. Use of the Easement shall be nonexclusive. The District shall at all times be entitled to
use the Property and the Easement for all purposes not inconsistent with County's use and the
District shall be entitled to grant or assign to others any rights over, under, across or through the
Property, including the Easement, which would not deprive County of it's rights under this
Agreement. The County has submitted and the District has approved plans and specifications for
County's construction of improvements in the Easement. The District reserves the right to require
County to relocate any facilities constructed or installed within the Easement, at County's sole cost
and expense, in the event such facilities interfere with the District's existing or future facilities or
operations.
3. Performance of Ri~hts and Obli~ations. All construction, maintenance, operations,
repairs and other activities conducted by or on behalf of County shall be performed in a good and
workman like manner by individuals qualified and licensed to perform such activities. County shall,
at its sole cost and expense, maintain, repair and replace the facilities in a good and safe condition.
Upon completion of any activities pursuant to this Agreement, County shall repair and restore as
near as possible the Easement and the Property to its original condition prior to the commencement
of such activities. County shall notify the District prior to commencement of any construction
activities, provide the District with a schedule for construction and generally keep the District
informed regarding the construction process. After completion of construction, the County shall
timely record a notice of completion and provide a conformed copy of the recorded notice of
completion to the District.
4. Right of Entry by State. The State of California (State), acting by and through the
California Tahoe Conservancy, and the County are parties to a Grant Agreement for the Acquisition
of the Real Property dated June 1, 1996, CTA-S02l.00 (Acquisition Agreement). The Easement
shall be subject to a right of entry by the State in the event County violates any essential term or
condition of the Acquisition Agreement. The right of entry shall be exercised by the State by
recording a notice of default (Notice of Default) in the El Dorado County recorder's office. Upon
the expiration of thirty (30) days from the recording of the Notice of Default, all right, title and
interest of County in the Easement shall vest in the State. Such right of entry is subject to the
provisions of California Civil Code section 885.010 through 885.070, inclusive, as amended.
5. Title to Easement. District shall grant the Easement and title to the Easement shall
vest in County subject only to: (1) covenants, conditions, restrictions and reservations of record, if
any; (2) easements or rights of way over the Property for public or quasi-public utility or public road
purposes, if any; and (3) exception item 1 paid current, and items 2 through 5, inclusive, contained in
Preliminary Title Report number 9330320 dated as of December 13, 1999 (Preliminary Report)
issued by First American Title Insurance Company (Escrow Company).
6. Escrow. The grant and acceptance of the Easement shall be consummated by means
of escrow number 93330320, opened with Escrow Company at 2092 Lake Tahoe Boulevard, South
Lake Tahoe, California 96150 (Escrow). This Agreement shall act as escrow instructions for the
Escrow. The parties shall execute any standard escrow instructions requested by Escrow Company
which shall be effective to the extent not inconsistent with the terms and conditions of this
Agreement. The recording of this Agreement with the County ofEl Dorado recorder's office shall
constitute the close of Escrow, which shall occur on or before ,2001 or such other

date as mutually agreed in writing by the parties. County shall be responsible for payment of: (1) all
fees and costs of the Escrow; (2) any and all recording fees; (3) any and all premiums for the policy
of title insurance; and (4) any and all documentary transfer taxes.
7. Payment of Taxes. County shall be responsible for payment of any and all
assessments, bonds, charges, taxes or liens imposed upon the Property or the Easement by any
federal, state or local government agency which are attributable to any improvements constructed on
the Property by County. Except as otherwise provided in this section, District shall be responsible
for payment of any and all assessments, bonds, charges, taxes and liens imposed upon the Property.
8. Certificate of Acceptance. Upon execution of this Agreement, County shall execute
the Certificate of Acceptance attached to this Agreement following the exhibits. The Certificate of
Acceptance shall be recorded as part of this Agreement.
9. Indemnification. Each party (Indemnifying Party) shall indemnify, defend and hold
harmless the other party (Indemnified Party), its directors, elected officials, officers, agents and
employees, from and against any and all claims, damages, losses, liabilities and expenses, including
attorneys', paralegal and expert fees and costs, which arise out of, relate to or result from the
Easement or the Indemnifying Party's breach of its obligations under this Agreement, except to the
extent any liability, claim, damage, loss, cost or expense was caused by the Indemnified Party's sole
negligence or wilful misconduct. The Indemnified Party shall promptly notify the Indemnifying
Party of the existence of any claim, demand or other matter to which the Indemnifying Party's
indemnification obligations would apply and shall give the Indemnifying Party a reasonable
opportunity to defend the same at the Indemnifying Party's expense and with counsel of the
Indemnifying Party's own selection, provided that the Indemnified Party may, at all times, participate
in the defense at the Indemnified Party's own expense. If the Indemnifying Party within a reasonable
time after written notice, fails to defend, the Indemnified Party shall have the right, but not the
obligation to undertake the defense of, and to compromise or settle, exercising reasonable business
judgment, the claim or other matter on behalf for the account and at the risk of the Indemnifying
Party.
10. Compliance with all Laws. County shall comply and conduct its activities in
accordance with all local, state and federal laws. County shall obtain, at its sole cost and expense,
any and all permits and consents from such governmental agencies having jurisdiction that are
necessary for the performance of its rights and obligations pursuant to this Agreement.
11. Insurance.
11.1 Liability Insurance. County shall, or cause its contractors and consultants,
to procure and maintain in effect insurance at its/their own expense and furnish District with a
certificate of insurance evidencing the insurance required for the term and duration of this Agreement
with the following minimum types and limits:
11.1.1 Automobile. Automobile (vehicle) liability insurance providing
coverage for owned, nonowned and hired autos, with coverage on a per occurrence basis for bodily
injury, including death, of one or more persons, property damage and personal injury, with limits of

not less than One Million Dollars ($1,000,000) per occurrence.
11.1.2 Comprehensive General Liability. Comprehensive general liability
insurance, providing coverage on a per occurrence basis for bodily injury, including death, of one or
more persons, property damage and personal injury, with limits of not less than One Million Dollars
($1,000,000) per occurrence.
11.2 Workers' Compensation. Statutory workers' compensation insurance
covering its/their employees in performance of services under this Agreement at its/their sole cost
and expense.
11.3 Certificate of Insurance. Prior to the performance of services under this
Agreement County shall provide District with Certificates ofInsurance evidencing the above
coverages. Each Certificate oflnsurance shall provide thirty (30) days' advance written notice to
District of any material change or cancellation of insurance or its coverage that is required under this
section.
12. General Provisions.
12.1 Recitals. The recitals set forth at the beginning of this Agreement of any
matters or facts shall be conclusive proof of their truthfulness and the terms and conditions stated in
the recitals, if any, shall be deemed a part of this Agreement.
12.2 Good Faith. Wherever in this Agreement a party has the right to approve an
act of another party, the former shall exercise such discretion in good faith and according to
reasonable commercial standards. Similarly, where a party is required to satisfy a condition or
complete an act in a certain fashion or within a specified time period, that party shall pursue such
objectives in good faith and make all reasonable efforts to accomplish the same; the other party shall
likewise in good faith cooperate and assist the other party in accomplishing this task to cause the
consummation of the agreement as intended by the parties and evidenced by this Agreement.
12.3 Other Instruments. The parties shall, whenever and as often as reasonably
requested by the other party, execute, acknowledge and deliver or cause to be executed,
acknowledged and delivered any and all documents and instruments as may be necessary, expedient
or proper in the reasonable opinion of the requesting party to carry out the intent and purposes of
this Agreement, provided that the requesting party shall bear the cost and expense of such further
instruments or documents (except that each party shall bear its own attorneys' fees).
12.4 Date and Delivery of Agreement. Notwithstanding anything to the contrary
contained in this Agreement, the parties intend that this Agreement shall be deemed effective,
executed, and delivered for all purposes under this Agreement, and for the calculation of any
statutory time periods based on the date an agreement between parties is effective, executed and! or
delivered, as of the date stated on the first page of this Agreement.
12.5 Construction. The provisions of this Agreement should be liberally
construed to effectuate its purposes. The language of this Agreement shall be construed simply
according to its plain meaning and shall not be construed for or against either party, as each party has

participated in the drafting oftrus Agreement and had the opportunity to have their counsel review it.
Whenever the context and construction so requires, all words used in the singular shall be deemed to
be used in the plural, all masculine shall include the feminine and neuter, and vice versa.
12.6 Captions, Headings, Exhibits and Abbreviations. The captions and
headings of this Agreement are for convenience only and have no force and effect in the
interpretation or construction of this Agreement. Words indicated in parenthesis signify an
abbreviation for the previous set of words or terms, so that when the abbreviation is used within the
Agreement, it shall have the same meaning as a full statement of the words or terms. All exhibits
attached to this Agreement are incorporated by this reference as though fully stated in this
Agreement.
12.7 Severability. If any term, provision, covenant or condition of this Agreement
shall be or become illegal, null, void or against public policy, or shall be held by any court of
competent jurisdiction to be illegal, null or void or against public policy, the remaining provisions of
this Agreement shall remain in full force and effect and shall not be affected, impaired or invalidated
thereby. The term, provision, covenant or condition that is so invalidated, voided or held to be
unenforceable shall be modified or changed by the parties to the extent possible to carry out the
intentions and directives stated in this Agreement.
12.8 Signatures - Counterparts. This Agreement may be executed in two or
more counterparts, each of which shall be deemed an original, but all of which together shall
constitute one and the same instrument. This Agreement shall not be effective until the execution
and delivery between each of the parties of at least one set of counterparts. The parties authorize
each other to detach and combine original signature pages and consolidate them into a single
identical original. Any of such completely executed counterparts shall be sufficient proof of this
Agreement.
12.9 Assignment. A party shall not voluntarily or by operation oflaw assign,
hypothecate, give, transfer, mortgage, sublet, license, or otherwise transfer or encumber all or any
part of its rights, duties, or other interests in this Agreement or the proceeds thereof (collectively,
Assignment), without the other party's prior written consent, which consent shall not be
unreasonably withheld or delayed. Any attempt to make an Assignment in violation of this provision
shall be a material default under this Agreement and shall be null and void.
Absent an express signed written agreement between the parties to the
contrary, no assignment of any of the rights or obligations under this Agreement shall result in a
novation or in any other way release the assignor from its obligations under this Agreement.
12.10 Successors and Assigns. This Agreement shall be binding on and shall inure
to the benefit of the parties and their respective heirs, legal representatives, successors and permitted
assigns, except as restricted by this Agreement.
12.11 Waiver. No waiver of any provision or consent to any action shall constitute
a waiver of any other provision or consent to any other action, whether or not similar. No waiver or
consent shall constitute a continuing waiver or consent or commit a party to provide a waiver in the
future except to the extent specifically stated in writing. Any waiver given by a party shall be null

and void if the party requesting such waiver has not provided a full and complete disclosure of all
material facts relevant to the waiver requested. No waiver shall be binding unless executed in writing
by the party making the waiver.
12.12 Governing Law. The validity and interpretation of this Agreement shall be
governed by the laws of the State of California without giving effect to the principles of conflict of
laws, with venue for all purposes proper only in the County ofEl Dorado, State of California.
12.13 Notices. All notices, approvals, acceptances, demands and other
communications required or permitted under this Agreement, to be effective shall be in writing and
shall be delivered in person or by U.S. mails (postage prepaid, certified, return receipt requested) or
by Federal Express or other similar overnight delivery service to the party to whom the notice is
directed at the address of such party as follows:

Any written communication given by mail shall be deemed delivered two (2) business
days after such mailing date and any written communication given by overnight delivery service shall
be deemed delivered one (1) business day after the dispatch date. Either party may change its
address by giving the other party written notice of its new address as provided above.
12.14 Attorneys' Fees. If any legal proceeding (lawsuit, arbitration, etc.), including
an action for declaratory relief, is brought to enforce or interpret the provisions of this Agreement,
the prevailing party shall be entitled to recover actual attorneys' fees and costs, which may be
determined by the court in the same action or in a separate action brought for that purpose. The
attorneys' fees award by the court shall be made as to fully reimburse for all attorneys' fees, paralegal
fees, costs and expenses actually incurred in good faith, regardless of the size of the judgment, it
being the intention of the parties to fully compensate for all attorneys' fees, paralegal fees, costs and
expenses paid or incurred in good faith.
12.15 Authorizations. All individuals executing this and other documents on behalf
of the respective parties certifY and warrant that they have the capacity and have been duly
authorized to so execute the documents on behalf of the entity so indicated. Each signatory shall

also indemnify the other parties to this Agreement, and hold them harmless, from any and all
damages, costs, attorneys' fees, and other expenses, if the signatory is not so authorized.
12.16 Entire Agreement and Amendment. This Agreement contains the entire
understanding and agreement of the parties with respect to the matters considered, and there have
been no promises, representations, agreements, warranties or undertakings by any of the parties,
either oral or written, of any character or nature binding except as stated in this Agreement. This
Agreement may be altered, amended or modified only by an instrument in writing, executed by the
parties to this Agreement and by no other means. Each party waives their right to claim, contest or
assert that this Agreement was modified, canceled, superseded or changed by any oral agreement,
course of conduct, waiver or estoppel.

You will find attached the necessary forms for the upcoming CONSOLIDATED DISTRICTS
ELECTION that will be held on Tuesday, November 6,2001.
Please complete the enclosed forms, make copies for your files and return the originals to
me NO LATER THAN JUNE 29. 2001.
Note: The enclosed resolution must be passed bv your Board of Directors and the
original, signed document returned to our office along with other completed
documents.
I would appreciate a current map of your District boundaries; however, if you complete the
form stating that there have been no annexations or parcels or deletions of parcels from
your District boundaries since December 1999 - that will be sufficient. It is important that
this department be aware of EVERY addition or deletion to your District boundaries. If there
have been changes, you will need to obtain a current map from LAFCO, with an approved
LAFCO stamp on it. There is a fee for such maps.
If appointments to fill vacancies have been made by your Board since the last Consolidated
Districts Election (November 2, 1999), please keep in mind that appointees only hold office
until the next Consolidated Districts Election (November 6, 2001). If the term is unexpired, it
shall appear on the ballot as such. Therefore, when submitting your NOTICE OF
ELECTIVE OFFICES TO BE FILLED AND TRANSMITTAL OF MAP AND BOUNDARIES,
please indicate these offices separately from those regularly appearing for election at this
time. (Government Code Sec. 1780)
The nomination period begins on July 16, 2001 and ends on AUQust 10,2001 at 5:00 p.m.
If the incumbent for a term fails to file by the last day of the nomination period, the time
will be extended for five (5) days (August 15,2001).

for "production and dissemination of candidates statements" notwithstanding Government Code
Section 85300 forbidding use of public funds "for the purpose of seeking elective office."
NOTE: This Notice shall be published once by the Registrar of Voters at least 90 days and not more
than 120 days before the general election in a newspaper of general circulation published in the
district or, if none, in a newspaper having general circulation in the district published in any affected
county in the district. (EC 12112)
Elections Code Section 13307. Preparation and form of candidate statement,
(a) (1) Each candidate for nonpartisan elective office in any local agency,
including any city, county, city and county, or district, may prepare a
candidate's statement on an appropriate form provided by the elections official.
The statement may include the name, age and occupation of the candidate and
a brief description, of no more than 200 words, of the candidate's education
and qualifications expressed by the candidate himself or herself. However, the
governing body of the local agency may authorize an increase in the limitations
on words for the statement from 200 to 400 words. The statement shall not
include the party affiliation of the candidate, nor membership or activity in
partisan political organizations.
(2) The statement authorized by this subdivision shall be filed in the
office of the elections official when the candidate's nomination papers are
returned for filing, if it is for a primary election, or for an election for offices
for which there is no primary. The statement shall be filed in the office of the
elections official no later than the 88th day before the election, if h is for an
election for which nomination papers are not required to be filed. If a runoff
election or general election occurs within 88 days of the primary or first
election, the statement shall be filed with the elections official by the third day
following the governing body's declaration of the results from the primary or
first election.
(3) Except as provided in Section 13309, the statement may be
withdrawn, but not changed, during the period for filing nomination papers
and until 5 p.m. of the next working day after the close of the nomination
period.
(b) The elections official shall send to each voter, together with the
sample ballot, a voter's pamphlet which contains the written statements of each
candidate that is prepared pursuant to this section. The statement of each
candidate shall be printed in type of uniform size and darkness, and with
uniform spacing. The elections official shall provide a Spanish translation to
those candidates who wish to have one, and shall select a person to provide that
translation from the list of approved Spanish language translators and
interpreters of the superior court of the county or from an institution accredited
by the Western Association of Schools and Colleges.
(c) The local agency may estimate the total cost of printing, handling,
translating, and mailing the candidate's statements filed pursuant to this
section, including costs incurred as a result of complying with the federal
Voting Rights Act of 1965, as amended. The local agency may require each

candidate filing a statement to pay in advance to the local agency his or her
estimated pro rata share as a condition of having his or her statement included
in the voter's pamphlet. In the event the estimated payment is required, the
receipt for the payment shall include a written notice that the estimate is just an
approximation of the actual cost that varies from one election to another
election and may be significantly more or less than the estimate, depending on
the actual number of candidates filing statements. Accordingly, the elections
official is not bound by the estimate and may, on a pro rata basis, bill the
candidate for additional actual expense or refund any excess paid depending on
the final actual cost. In the event of underpayment, the elections official may
require the candidate to pay the balance of the cost incurred. In the event of
overpayment, the elections official shall prorate the excess amount among the
candidates and refund the excess amount paid within 30 days of the election.
(d) Nothing in this section shall be deemed to make any statement or the
authors thereof free or exempt from any civil or criminal action or penalty
because of any false, slanderous, or libelous statements offered for printing or
contained in the voter's pamphlet.
(e) Before the nominating period opens, the local agency for that election
shall detennine whether a charge shall be levied against that candidate for the
candidate's statement sent to each voter. This decision shall not be revoked or
modified after the seventh day prior to the opening of the nominating period. A
written statement of the regulations with respect to charges for handling,
packaging, and mailing shall be provided to each candidate or his or her
representative at the time he or she picks up the nomination papers.

The Board of Directors of the South Tahoe Public Utility District met in a regular session, April 5,

Blacky Gonsalves, Joyce Blackstone.
Mr. Gonsalves came before the Board on behalf of the
residents on Ormsby Drive. They are concerned that
the Conservancy's Trout Creek Restoration project
would entail rerouting the stream (or a portion of the
stream) that currently flows through their properties near
Lake Christopher. Mr. Gonsalves inquired if the project

Powers Authority detailing the parameters of a cost
sharing agreement.
The "HiPOx" treatment plant is capable of reducing the
trace levels (0.2 - 0.4 ppb) of MTBE present in the
groundwater to less than 0.2 ppb in drinking water per
the Board's non-detect policy. Boyle Engineering
will design pumping, piping, and related facilities,
and will prepare bid specifications and final plans for
the incorporation of the HiPOx" system as a wellhead
treatment plant. Once cleanup is completed, the system
can be moved for use at another site. Additional costs,
estimated at $200,000 - $300,000, will be required to
construct the piping and pumping system this summer.
The Operations Committee has reviewed this item
and recommends approval.

Tahoe Restoration Act authorized $1 million in funding
for MTBE cleanup activities, plus a 67% reimbursement

Refunding of 1994 Water Installment Sale Certificates
Our March 28, 2001 memo to you examined three refinancing options. We have now
received refunding information from Bill Bock at LaSalle Bank.
LaSalle is willing to re-negotiate the water certificate's interest rate and has offered
5.35%. The proposed rate would go into effect for the April 30, 2001 payment. The
District could pay the 2% prepayment fee of approximately $142,000 in cash at the same
time it makes the April 30, 2001 payment. Assuming this cash payment, the annual
installment payments would decline to approximately $744,500. If the prepayment fee
was capitalized into the new certificate issue, annual payments would be $759,000.
Technically, a refinancing by LaSalle would not be an advanced refunding; the existing
certificates would not be defeased. Instead, it would be a re-negotiation of the interest
rate. The new installment sale agreement would be non-callable. There would be no
issuance costs or underwriter fee charged by LaSalle. Any fees for bond counsel and
financial advisor would be the District's responsibility.
Chart 1 compares the current annual installment payments with the debt service estimates
for the four refinancing options: (1) Municipal Finance proposal, (2) LaSalle's reduced
interest rate, (3) California Statewide Communities Development Agency revenue bond
pool, and (4) the District issuing stand-alone, competitive installment sale certificates.
All four options would reduce the District's annual installment payments.
Table 1 shows a comparison four financing options. The greatest savings would be
produced by a stand-alone, competitive installment sale.

Even though the issuance costs and issue size are greater for the stand-alone, competitive
installment sale and CSCDA bond pool, their interest rates are significantly lower than
Municipal Finance's proposed 4.85% and LaSalle's offer of5.35%. Annual interest rates
for the other two options range from 3.2% to 4.95% depending upon maturity.
Comparing the options' true interest costs, which take into account the timing of the debt
service payments and issuance costs, shows the interest cost would be 4.4% for the stand-
alone, competitive installment sale, 4.74% for the CSCDA pool, 4.87% for Municipal
Finance, and 5.35% for LaSalle. All refunding options yield an interest cost lower than
the current interest rate of6.63%.
The refinancing date for LaSalle would be April 30, 2001 and the refunding dates for the
other three refinancings would be April 30, 2003. We had talked with Bill Madison of
Jones Hall, the District's bond counsel about the appropriate refunding date pursuant to
Section 9.02 of the Installment Sale Agreement with LaSalle.
At the bottom of Table 1 is BW A's estimate of staff time that each refinancing option
would possibly require. The competitive, stand-alone installment sale would require the
most staff time. The additional time for the stand-alone sale is however only 8-10 hours
more than for the other refinancing options.
Tables 2 through 7 show supporting information and debt service schedules for the
Municipal Finance proposal, the CSCDA bond pool, a stand-alone, competitive
installment sale, and LaSalle's offer.
BW A concludes that the District should refinance the 1994 installment sale certificates
and recommends that the District pursue the refinancing. BWA's analysis indicates that a
competitive installment sale would result in the greatest savings: lowest interest rates and
annual installment payments.
