A RESOLUTION AUTHORIZING EXECUTION OF AGREEMENT FOR
AIRPORT WELL SITE BETWEEN THE COUNTY OF EL DORADO
AND SOUTH TAHOE PUBLIC UTILITY DISTRICT
BE IT RESOLVED by the Board of Directors of the

South Tahoe Public Utility District, County of El Dorado,
California, that the President of the Board of Directors is
authorized to execute the Airport Well Agreement attached
hereto and made a part of this Resolution.

AIRPORT WELL LICENSE AGREEMENT
THIS LICENSE AGREEMENT is made by and between COUNTY OF
EL DORADO, 330 Fair Lane, Placerville, California 95667, referred
to herein as COUNTY, and SOUTH TAHOE PUBLIC UTILITY DISTRICT,
P. 0. Box AU, South Lake Tahoe, California 95705, referred to
herein as DISTRICT.
WHEREAS, COUNTY is the owner of certain real property
located in South Lake Tahoe, County of E1 Dorado, California,
commonly referred to as Airport Property; and
WHEREAS, DISTRICT is desirous of drilling and construct-
ing a well and structures and appurtenances necessary therefor,
including a water pipeline, and the pumping of water therefrom
for domestic and fire purposes; and
WHEREAS, the drilling and constructing of said well and
the pumping there:(hom for domestic and fire purposes by DISTRICT
will be of benefit to COUNTY;
NOW, THEREFORE, IT IS AGREED, as follows:
1. COUNTY hereby agrees to a license permission to
DISTRICT to drill and construct a well on the Airport Property of
COUNTY in the location described in Exhibit A attached hereto
and incorporated herein by reference, and in accordance with
(1) Plan and East and South elevations of Well House, (2) Location
Map, (3) Plan and Profile, and .(4) Aerial Photograph of Well
Site and Portion of Airport, marked Exhibit B, and incorporated
herein by reference.
2. The drilling and construction of said well, including
structures and appurtenances necessary therefor, shall be
accomplished in a workmanlike manner, and DISTRICT shall repair .
or replace any property or improvements or facilities of COUNTY
damaged or destroyed in the course of said drilling and construc-
tion. The drilling and construction shall be subject to approval
by the El Dorado County Department of Public Works.

3. The ownership, operation and maintenance of the well
facilities, not real property, pursuant to this Airport Well
License Agreement, shall be by DISTRICT. DISTRICT shall repair
or replace any property or improvements or facilities of COUNTY
damaged or destroyed in the course of operation of said well.
4. The term of this license permission to DISTRICT
herein is for a period of twenty -five (25) years. DISTRICT shall
have the option of extending said term for an additional twenty-
five (25) years. DISTRICT shall exercise said option by notify-
ing COUNTY in advance one (1) year prior to the expiration of the
initial term of its intent to exercise said option.
5. DISTRICT shall furnish to COUNTY as and for permis-
sion to drill, construct and operate said well, including
structures and appurtenances necessary therefor, one three -inch
(3 meter minimum domestic service for the E1 Dorado County
Office Center through the existing service connection and meter.
COUNTY shall not pay for the three -inch (3i meter minimum
domestic service rate charged other customers by DISTRICT.
COUNTY shall pay to the South Lake Tahoe Airport Enterprise Fund
the DISTRICT rate for said three -inch (3 meter minimum domestic
service for the E1 Dorado County Office Center. COUNTY shall pay
for any additional water service over and above said three -inch
(3") meter minimum domestic service rate charged other water
customers of DISTRICT.
6. DISTRICT agrees to furnish and install, at its own
expense, a fire hydrant with two 2 2 11 DIST hose nozzel outlets
and one 411 steamer nozzel outlet, with hose and steamer caps,
all chained individually to hydrant, at the existing COUNTY
dirt road approximately one hundred feet (100 west of the well
location, on the DISTRICT'S water transmission line from said
(well to the DISTRICT'S existing water distribution system.
DISTRICT agrees, upon agreement with Angora Water Company by the
COUNTY and DISTRICT, to provide emergency fire water to the

County Airport at South Lake Tahoe from said well and hydrant
as further compensation to COUNTY for the license permission
herein granted. COUNTY agrees to provide any right -of -way for
DISTRICT and Angora Water Company required for said fire hydrant
installation.
7. DISTRICT agrees to enter into a three -way agreement
with Angora Water Company and COUNTY providing for an intertie
with the DISTRICT water transmission line to its water distribu-
tion lines on City of South Lake Tahoe property on Kyburz Avenue
Loop. The purpose of said three -way intertie agreement shall
be for Angora Water Company to use a portion of the DISTRICT
water supply for COUNTY emergency fire and emergency domestic
purposes at said County Airport.
8. DISTRICT agrees not to furnish water in the existing
service area of Angora Water Company other than pursuant to the
terms of this agreement and any agreement or agreements entered
into by COUNTY, Angora Water Company and DISTRICT, as authorized
by this agreement.
9. The drilling, construction and operation of said
well, including structures and necessary appurtenances therefor,
shall be specifically subject to the Federal Aviation Agency
comments indicating no objections, as well as City, County and all
requisite regulatory agency approval, and DISTRICT shall comply
with all rules and regulations of applicable regulating agencies.
DISTRICT shall not cause COUNTY to violate any Federal Aviation
Agency regulations in connection with the drilling, construction
and operation of said well.
10. DISTRICT shall indemnify and hold COUNTY harmless
from and against all costs and losses and all claims, demands,
suits, actions, payments and judgments arising from personal
injuries or property damage or otherwise, sought or recovered
against the COUNTY by reason of any act or omission of the DISTRICT
or its agents, servants or employees in connection with the

drilling, construction and operation of said well, including
structures and necessary appurtenances therefor, including any
and all expenses, legal or otherwise, incurred by the COUNTY
or its representatives in the defense of any claim or suit.
11. COUNTY may terminate this Airport Well License
Agreement when airport development requires the use of the land
upon which said airport well and /or pipeline are situate, and /or
the use of the airport well and /or pipeline interferes with

airport development. COUNTY may so terminate by giving DISTRICT
a one year notice in advance prior to the termination for said

reasons.
12. COUNTY specifically reserves all rights to minerals
in the airport real property required for the airport well and
pipeline of DISTRICT, and reserves all other rights in the
airport real property not inconsistent with said airport well
and pipeline use.
13. At the termination of this agreement, DISTRICT shall
remove the pump motors and appurtenances of said well and the
structures for said well and seal said well, which shall then
remain permanently sealed by COUNTY.
