A RESOLUTION AUTHORIZING EXECUTION OF
APPLICATION TO PUBLIC UTILITIES COMMISSION
RESOLVED, by the Board of Directors of the South Tahoe Public
Utility District, El Dorado County, California, that the form of
Joint Application to the Public Utilities Commission of the State
of California in form this day presented to this Board be and it is
hereby approved, and the President is hereby authorized to execute
said Application on behalf of the District and the Clerk is
authorized to attest his signature and to affix the corporate seal
of the District thereto.

A P P L I C A T I O N
The joint application of CARL D. HOFFMAN and LILY MAE HOFFMAN,
hereinafter referred to as "Owners ", and the TAHOE SIERRA WATER
COMPANY, INC., a California corporation, hereinafter referred to as
"Corporation ", and the SOUTH TAHOE PUBLIC UTILITY DISTRICT, a public
corporation of the State of California, hereinafter referred to as
"District ", respectfully shows:
I.
1. That Tahoe Sierra Water Company, Inc., a California
corporation, is the owner and operator of a public utility water system
which presently furnishes water for fire protection and for domestic and
commercial purposes within its service area, which comprises territory
situated in El Dorado County, California, more particularly described
in Exhibit "A" attached hereto and by this reference incorporated
herein, and which service area lies within the exterior boundaries of
the South Tahoe Public Utility District.
2. That a copy of Corporation's current articles of incor-
poration, certified by the Secretary of State, have been filed with
the California Public Utilities Commission.

3. That the location of the principal place of business of
the Corporation is South Lake Tahoe, El Dorado County, California,
and the name of the person to whom communications in regard to this
application should be addressed is:

Owners are the owners of the outstanding shares of capital
stock of Tahoe Sierra Water Company, Inc.

III.
That South Tahoe Public Utility District is a public corpora-
tion to wit, a public utility district duly organized and existing
under and by virtue of the laws of the State of California, and has
its principal place of business at South Lake Tahoe, El Dorado County,
California; that communications in regard to this Application should
be addressed to:

IV.
That District and Owners, pursuant to negotiations, have
heretofore entered into and executed an Agreement for the sale to
District of all of the capital stock of Corporation; that a copy of
said Agreement is attached hereto, marked Exhibit "B ", and by this
reference incorporated herein.

V.
That Owners are prepared to transfer all the shares of capital
stock to District and other instruments necessary or convenient therewith,
pursuant to a Stock Purchase Agreement (Exhibit "B" attached) and an
Escrow Agreement, attached hereto, marked Exhibit "C ", and by this
reference incorporated herein, upon the granting by the Public Utilities
Commission of the State of California of the Order herein requested;
subsequent thereto, with the approval of the Public Utilities Commission
of the State of California, District will dissolve the Corporation
and distribute all of the Corporation's assets to District.
VI.
That upon dissolution of Corporation and distribution of
Corporation's assets to District, District will have included within
its utility services means and works for and will be engaged in the
supply and distribution of water to domestic and commercial consumers.
That the District is not subject to the jurisdiction of the
Public Utilities Commission of the State of California, but joins
in and approves this Application and agrees that if the authorizations
herein requested are granted, it will undertake and continue service
in the territory now served by Corporation in accordance with all
existing or hereinafter adopted State or District laws, ordinances,
rules or regulations.
VII.
That the reason for the sale and transfer hereinabove described
k r, and the dissolution of the Corporation and distribution of its assets
to District, and the facts warranting the same, are as follows:
That the Corporation's stockholders of long standing are
desirous of ending their interest in the Corporation; that the manager
of long standing of the Corporation is desirous of retiring, leaving
the Corporation without experienced management; that District, as
the owner and operator of the former Tahoe Southside Water Utility,

can achieve an economy of operation and an improvement in service,
not otherwise obtainable, by combining the District's existing services
with those services the Corporation provides; and that, at some
future date when District may acquire other water corporations and
combine those facilities with its own, it is expected that by such
combination it will be able to standardize maintenance, water rates,
and further improve quality of water service throughout the District.
VIII.
Owners have the full right, power, and authority to sell,
transfer and deliver to District in accordance with the Stock Purchase
Agreement all of the outstanding shares of capital stock of the
Corporation.
IX.
That attached hereto, marked Exhibit "D" and by this reference
incorporated herein, are the financial statements of Corporation,
being the most current available to said Corporation.
X.
That District agrees to assume liability for and honor all
water service contracts and main extension agreements presently in
force.
That Corporation represents there are no customer deposits
which must be refunded or assumed by District.
XI.
That this Application is made pursuant to the provisions of
the Public Utilities Code of the State of California, and to the
rules and p
ractice and procedure of said Commission.

That pursuant to the provisions of said Agreement, District
will take over the operation and maintenance of the waterworks and
facilities of the Corporation and desires upon approval of this
Application to provide its public utility services within the service
area of said Corporation, without any interruption of service by
virtue of this transaction.

That Corporation, District and Owners request the California
Public Utilities Commission to urgently act in this matter at the
earliest possible date for the reason that confusion will ensue in the
operation of the Corporation's water system, to the detriment of
the public thereby served, if Owners must continue management of said
water facilities and complete control of said water facilities by
District is not consummated at the earliest possible date.
Accordingly, and by virtue of the foregoing, the Corporation,
Owners and the District jointly request that the Order for which
this Application is made hereby be granted without hearing at the
earliest possible date.
WHEREFORE, said Corporation, said Owners holding all the
k how capital stock of said Corporation, and said District jointly request
that Commission, pursuant to the provisions of the California Public
Utilities Code of the State of California, do issue its Order authorizing:
1. The Owners to sell, transfer and convey to District all
of the capital stock in the Corporation upon the terms and conditions
and in accordance with the provisions of said Stock Purchase Agreement
(Exhibit "B" attached), and said Escrow Agreement (Exhibit "C" attached);
2. The District, upon acquisition of all the capital stock
of the Corporation, to immediately dissolve said Corporation and
distribute all the corporate assets to District; and
3. For such other Order as may appear meet in the premises.

ESCROW AGREEMENT
TO FACILITATE TRANSFER OF STOCK
THIS AGREEMENT made and entered into this 18th day of
September, 1975, by and between Carl D. Hoffman and Lily Mae
Hoffman (hereinafter referred to as "Owners "), the South Tahoe
Public Utility District, a public district (hereinafter referred
to as "District ") and Robert J. Hill (hereinafter referred
to as "Escrow Agent ");
W I T N E S S E T H:
WHEREAS, on the 18th day of September, 1975, Owners and
k ile District entered into an agreement for the sale and purchase of
the stock of Tahoe Sierra Water Company, Inc.;
WHEREAS, Article 5 of said agreement provides for the trans-
fer to District, upon the fulfillment of certain conditions, of
certificates representing all of the outstanding stock of the
aforesaid company;
WHEREAS, it is in the public interest and in the interest
of the parties hereto that said physical transfer of said certifi-
cates be accomplished through an escrow arrangement; and
WHEREAS, Robert J. Hill is a partner in the firm of
Wilson, Jones, Morton & Lynch, a law firm located at 630 North
San Mateo Drive, San Mateo, California 94401;
NOW, THEREFORE, in consideration of the above premises and
of the mutual promises herein contained, it is hereby AGREED as
follows:
Section 1. Delivery of Stock of Escrow. Within five (5)
days following the date hereof, Owners shall properly endorse for
transfer to District certificates representing the total number
of shares of outstanding stock of the Tahoe Sierra Water Company,
Inc. and shall cause said certificates to be delivered to Escrow
Agent.

Section 2. Terms of Escrow. Upon receipt of the aforesaid
stock certificates, Escrow Agent shall retain said certificates
until Owners and District, by their duly authorized officers,
shall, in writing, inform Escrow Agent that the condition precedent
to final delivery of said stock to District, which condition is
set forth in subsection (b) of Section 5.1 of the aforementioned
agreement for sale and purchase of stock, has been fulfilled.
The parties hereto understand that said subsection (b) refers
to the obtaining of all necessary orders and approvals by the
Public Utilities Commission of State of California relating to the
acquisition of said stock by District.
Section 3. Safekeeping. Escrow Agent shall keep stock
secure, in a safe place and free from harm.
Section 4. Condition Precedent. In the event that the
aforesaid orders and approvals of the Public Utilities Commission
are not forthcoming, the parties hereto shall so inform Escrow
Agent in writing, and upon receipt of such information Escrow
Agent shall return said stock certificates to Owner.
Section 5. Escrow Costs. The parties hereto agree that
District shall pay the costs, if any, of the Escrow herein
established.
Section 6. Termination of Escrow. Notwithstanding any
other provisions hereof, this Agreement shall, in accordance with
Section 5.4 of the aforesaid agreement for sale and purchase of
stock, terminate on January 1, 1976, at the hour of 12:00 o'clock
noon.
Section 7. Facilitation of Former Agreement. This Agree
ment is intended to facilitate the transfer of stock provided for
in the aforementioned agreement for sale and purchase of stock.
In the event of a conflict between said agreements, said agreement
for sale and purchase shall prevail.
