The additional five-foot(5')maintenance and access easement described in Exhibit A � shall be used only as reasonably necessary for maintenance of the underground sewer lines,tank,pump � and appurtenances. Any ground disturbed by such use shall be restored as nearly as possible to its natural ! state. ;� � D. The parties estimate that any relocation or encasement for each building site is approximately one hundred(100)feet. G. In the construction,laying and maintenance of the sewer lines,every reasonable good faith effort sha11 be made to protect trees and vegetation,including hand digging and special treatment, where necessary,to protect roots. H. The Easement shall not be used for vehicular or foot traffic other than for maintenance and repair purposes once construction of the initial lines is completed. Locked gates shall be installed and maintained at each end of the Easement. I. The construction and,thereafter,maintenance of the sewer lines shall be governed and conditioned by,substantially,the same conditions and requirements as are attached to Grantee's Special Use Permit No.700519062378,dated June 23, 1978,for use of adjacent U.S.Forest Service lands,which permif is on file at Grantee's principal place of business and incorporated herein by reference as though set out in full. DISCUSSION: During the Board workshop on March 26, 2013, staff was directed to develop a five-year Proposition 218 notice including 6% annual increases #o sewer rates and 6.5%annual increases to water rates in years one through four, and 5%in year five. Direction was also provided to include in the notice a proposed increase to the base charge of the metered water rate to capture 80% of the metered revenues, and decrease the consumptive charge to capture the remaining 20�. The current structure - is approximately 70/30. This change more closely mirrors the District's fixed and variable cost structure. Ordinance No. 557-14 includes the proposed rates as presented in the Proposition 218 notice. Upon adoption of this Ordinance, the water and sewer rates for fiscal year 2014/15 will be effective July 5, 2014. The water and sewer rates for fiscal years 2015/16, 2016/17, 2017/18 and 2018/19 will be only effective upon the District Board of Director's confirmation of the water and sewer rates for each such year.This will allow staff to annually report to the Board the District's financial position, the corresponding financial needs of the District for its activities and projects, and recommend a rate adjustment to address those needs which is no greater than the rates adopted in Ordinance No. 557-14. The flat and metered water rates were developed through a water cost of service study prepared by HDR Engineering.Several rate scenarios were developed based on varying capital improvement plan levels. DISCUSSION: (1) In September, 2013, the City of South Lake Tahoe (City) and the South Tahoe Public Utility District (District) entered into an Agreement by which the District would reimburse the City its cost (up to a maximum of$113,013.45) for the repair of asphaltic paving on Pioneer Trail. The damage to the paving was a result of District work to relocate water services on Pioneer Trail during the 2013 grading season. The City was unable to come to terms with its contractor to complete the work in a timeframe that was acceptable to the City (per the attached emailj, and so the District subsequently performed patch repairs on Pioneer Trail to provide a durable roadway for the winter season. Since the City and its contractor did not perform the work under the Agreement, staff requests that the Board authorize staff to terminate the existing Agreement. (2) The District has awarded the construction of the Saddle Keller Waterline Replacement Project. As parf of this project, the District's contractor will make improvements to asphalt pavement on Pioneer Trail, which was damaged by the District's 2013 Pioneer Trail Water Services Relocation Project. To provide a consistent roadway surface in this area, the City has requested that the District also make improvements to the pavement beyond the limits of the area that was damaged by the District's work, at the City's cost. To formalize this arrangement, Staff has worked with the City to prepare an Agreement for the City to reimburse the District's costs for pavement improvements. The bid to repair the pavement on Pioneer Trail is $99,821, of which $28,785.30 is to be reimbursed by the City for pavement beyond the area damaged by the District. The terms of the Agreement are being finalized by staff and will be provided prior to and at the Board meeting. City of South Lake Tahoe -57- Reimbursement Agreement Between City of South Lake Tahoe& South Tahoe Public Utility District This AGREEMENT, entered into effective on , is between the City of South Lake Tahoe, municipality of the State of California,referred to herein as"CITY,"and the South Tahoe Public Utility District, referred to herein as"DISTRICT." Recitals 1. DISTRICT secured funding,prepared contract documents, advertised, awarded and intends to enter into and administer a construction contract for the approved work,to be completed by the lowest responsible bidder, for installation of roadway improvements on Pioneer Trail,referred to herein as"PROJECT." 2. DISTRICT owns and maintains sanitary sewer and potable water utility facilities within the limits of the PROJECT,which were modified and relocated in 2013. These modifications and relocations of the utility facilities have resulted in damage to the existing roadway improvements owned by the City of South Lake Tahoe in the area of the PROJECT. To accept ownership,operate and maintain the portions of the constructed WORK that are part of the CTTY roadway improvements. 5. To waive any and all rights to any type of express or implied indemnity or right of contribution from the DISTRICT for any liability,claims,demands,costs,charges and expenses(including,without limitation, attorney's and expert witness fees and other expenses of litigation) and causes of action of whatsoever character on account of loss or damage to the roadway improvments that are modified pursuant to this Agreement and as part of the WORK and loss of use thereof,or for bodily injury to or death of any persons (including, without limitation, property, employees, subcontractors, agents, and invitees of each party , hereto)arising out of or in any way connected with the WORK, and arising from any cause whatsoever, including any passive negligence of the DISTRICT and excepting only, and in direct proportion to, the active negligence of the DISTRICT which is the proximate cause of the event giving rise to the claim or liability. Such waiver does not extend to the DISTRICT's contractor and does not apply to other existing CITY roadway, storm drain or pedestrian improvements within the area of the PROJECT that are not relocated or modified as part of the WORK. III. Mutually Agreed: 1. Upon completion of the WORK to be performed by the DISTRICT in accordance with the scope of work, the roadway improvements shall become the property of the CITY. 2. Deviations from the scope for the WORK,initiated by either the CITY or DISTRICT,shall be agreed upon by both parties hereto by Amendment. 3. Modifications to the WORK which are not mutually agreed upon by the parties to this Agreement, will require an Amendment to this Agreement. 4. If the PROJECT, which precipitated this Agreement, is canceled or modified so as to eliminate the necessity of the WORK;the DISTRICT will notify the CITY in writing and either party may then terminate this Agreement. 5. The DISTRICT agrees to pay the contractor for work completed on the identified bid items, which are incorporated by this reference as the WORK, subject to reimbursement from the CITY. Any changes in quantities of the bid items shall be agreed to by both the CITY and DISTRICT. The CITY Engineering staff is authorized to approve up to 125%of the reimbursable portion of the WORK of the identified bid items herein which are based on the Unit Cost contract price for lowest responsible bidder for the PROJECT. 6. That the parties will be relieved of their respective duties and obligations hereunder if performance of this _ agreement is prevented by the elements,natural disaster or acts of God,or if they are ordered or enjoined from performing hereunder by any court or regulatory agency having jurisdiction. DISCUSSION: On May 28, 2014, Herback General Engineering (Herback) formally requested they be allowed to replace the materials supplier they listed in the Bid Documents, Ferguson, with Western Nevada Supply Company, at no additional cost to the District. The basis for the request is non-responsiveness on the part of Ferguson, as detailed in the attached letter. � Unlike for subcontractors, the Public Contract Code is silent on restrictions to the I, substitution.of suppliers. The District's contract documents are additionally silent on the ' issue. However, to discourage the practice of "bid shopping" staff recommends that the Board consider any written objection timely received from the named supplier prior to approving the substitution. On May 28, 2014, the District sent Ferguson notice of Herback's request to replace their firm as materials supplier (see attached letter). Ferguson has until June 4, 2014, to object in writing to the substitution.
