The South Tahoe Public Utility District Board of Directors regularly meets the first and third Thursday of each month. A complete Agenda
packet is available for review at the meeting and at the District office during the hours of 8:00 a.m. and 5:00 p.m., Monday through Friday.
A recording of the meeting is retained for 30 days after Minutes of the meeting have been approved. Items on the Agenda are numbered

REQUESTED BOARD ACTION: Authorize staff to sign Master Services Agreement and Task
Order No. 1 for $14,400 to KWA Safety & HazMat Consultants, Inc.
DISCUSSION: A Request for Proposal was sent out on June 3, 2016, soliciting proposals
for a Safety Consultant to perform specified Safety Program tasks in an amount not to
exceed $25,000. The District received two proposals, of which one did not meet the
terms of the Request for Proposal. KWA Safety & HazMat Consultants Inc., (KWA) was
interviewed on June 22, 2016, and District staff is satisfied that KWA will be able to
significantly add to the District's Safety Program and bring the District into compliance
with Cal -OSHA. KWA's initial proposal amount was $12,800, but the interview panel felt
the District could benefit by having KWA perform a review of the District's overall Safety
Program to identify any other deficient areas. The only review the District has had of its
Safety Program is from David Patzer, of California Sanitation Risk Management Authority
(CSRMA), for the past 20 years. KWA can perform this review for an additional $1,600,
which staff believes is very reasonable. KWA is prepared to begin work in September,
following Board approval. The main areas of focus will be: (1) Fall Protection Program;
(2) Forklift Policy; (3) Mobile Equipment Policy; (4) Transite Pipe (Asbestos); (5) Lock -Out,
Tag -Out Program; and (6) Review of overall Safety Program. These services are still well
below the $25,000 budgeted for these consultant services.

DESCRIPTION OF SERVICES
Additional task description and cost estimate for a safety program needs assessment.
• Work onsite to conduct a safety program assessment to include:
o Review of the current written Injury and Illness Prevention Program (IIPP) document
(safety manual/procedures).
o Review of training program content, schedule, and documentation.
o Review of safety procedures implementation and documentation.
o Interview a few employees regarding safety program and training implementation,
including person or persons currently responsible for safety program.
• Provide results of the assessment in writing.
The goal of this visit would be to evaluate compliance status, determine action items, if any, for
improvements, and to establish priorities for future activities. These services would be provided
by Pamela Murcell, CIH.
COST PROPOSAL FOR REQUESTED ADDITIONAL TASK
The cost estimate for this task is 8 hours onsite for item 1, and 2 hours for item 2 at $160/hour.
Additional Task: 10 hours @ $160/hour = $1,600.

MASTER AGREEMENT
FOR
CONSULTING SERVICES
KWA SAFETY & HAZMAT CONSULTANTS, INC.
THIS AGREEMENT is made and entered into as of the 18th day of August, 2016 by and
between South Tahoe Public Utility District, hereinafter referred to as "DISTRICT" and KWA Safety &
HazMat Consultants, Inc., hereinafter referred to as "CONSULTANT".
RECITALS
A. DISTRICT desires improvements to its safety program, for which it may require the services of a
consultant.
B. DISTRICT proposes to provide a MASTER AGREEMENT for consulting services which will be
required by DISTRICT in general support of projects under separate titles (Task Orders). The
general scope of services outlined in this MASTER AGREEMENT will be further defined by a
series of Task Orders which will set forth the services to be performed (detailed scope), costs, and
time for completion.
C. DISTRICT desires to secure professional consulting services for said projects and CONSULTANT
represents that CONSULTANT possesses the professional qualifications to provide such
consulting services.
D. DISTRICT and CONSULTANT agree to enter into this MASTER AGREEMENT for the
performance of consulting services on the terms and conditions stated in this MASTER
AGREEMENT.
NOW THEREFORE, for and in consideration of their mutual promises and subject to the terms, provisions
and conditions hereinafter set forth, the parties hereto do hereby agree as follows:
ARTICLE I. - CONSULTING SERVICES
A. Upon execution of this agreement and subsequent Task Orders by both parties, and upon receipt
of written authorization from DISTRICT, CONSULTANT at CONSULTANT's sole cost and expense
(to be reimbursed as outlined in ARTICLE IV) and to the satisfaction of DISTRICT, shall perform
the services (Services) set forth in each Task Order and represented by a separate proposal for
each Task Order. The Services shall be assigned to CONSULTANT by DISTRICT for the various
projects as planned and developed by DISTRICT. Each Task Order shall specify the Services to
be performed, the time schedules for completion of the Task Order and for completion of all tasks
(Tasks) within the Task Order, and the cost (Cost Ceiling) including all fees, costs and expenses,
both direct and indirect, of the Task Order, but shall otherwise be governed by the terms and
conditions of this Agreement, as modified by the individual Task Orders. Task Orders shall be in

writing, signed by both parties in advance, and shall be attached to this Agreement as consecutive
exhibits beginning with Task Order 1.
B. CONSULTANT agrees to comply with the schedule as set forth in each Task Order, and to provide
Services in a timely manner to allow DISTRICT's project(s) to be completed as planned by
DISTRICT.
In the event CONSULTANT is not able to comply with the project schedule, a written statement
from CONSULTANT will be required showing CONSULTANT's plan to bring schedule back into
compliance to meet completion date. In the event of delays due to causes beyond the control of
CONSULTANT, an extension to the schedule for performance shall be negotiated.
C. CONSULTANT shall provide DISTRICT with a review of the budget amount when 75% of the Cost
Ceiling of each Task Order has been expended. CONSULTANT shall be entitled to reallocate
costs among subtasks within a Task. DISTRICT shall have the right to transfer Tasks and costs
within the same or other Task Order(s).
CONSULTANT may request a revision in the Cost Ceiling for performance of the Task Order, and
will relate the rationale for the revision to the specific basis of estimate. Such notification will be
submitted to DISTRICT at the earliest possible date. The Cost Ceiling will not be exceeded without
approval by DISTRICT and written amendment to the Task Order.
D. In the case of changes affecting project scope resulting from new findings, unanticipated
conditions, or other conflicts or discrepancies, CONSULTANT shall promptly notify the DISTRICT
of the identified changes and advise the DISTRICT of a recommended solution. Additional
Services shall not be performed without prior written authorization of DISTRICT.
DISTRICT may order, via a written amendment signed by each party's authorized representative,
changes in scope or character of Services, either decreasing or increasing the amount of
CONSULTANT'S services associated with a given Task Order. An order for additional services
constitutes a change to the Task Order and shall be made in writing, dated, and appended to that
Task Order.
Compensation for Additional Services shall be on the basis of Time and Materials or Lump Sum, to
be agreed upon at the time of request for Additional Services. The estimated amount of
compensation for Additional Services will be determined at the time the Additional Services are
requested.
ARTICLE Il. - RESPONSIBILITIES OF DISTRICT
A. DISTRICT shall furnish to or make available for examination by CONSULTANT, as it may request,
all data and information which DISTRICT may have available, and CONSULTANT may rely upon
such data and information developed exclusively by DISTRICT in the performance of
CONSULTANT's services.

B. In order that DISTRICT may meet its obligations with respect to the technical quality of the services
to be performed under this Master Agreement, the services performed by CONSULTANT under
this Agreement shall be under the general supervision and direction of the DISTRICT's General
Manager/Engineer (DISTRICT REPRESENTATIVE), who shall be Mr. Richard H. Solbrig.
CONSULTANT and its officers, employees, agents, affiliates, and subcontractors shall act in
complete harmony and coordination with the DISTRICT REPRESENTATIVE. The DISTRICT
REPRESENTATIVE shall keep in touch with the CONSULTANT during the duration of the Task
Orders and shall be the authorized medium of communication for and with District matters
pertaining thereto. DISTRICT REPRESENTATIVE may from time to time delegate any or all of his
supervisory responsibility to appropriate staff members, and the DISTRICT shall so inform
CONSULTANT before the effective date of each such delegation.
ARTICLE III. - RESPONSIBILITIES OF CONSULTANT
A. In rendering the professional services, CONSULTANT is an independent contractor, the DISTRICT
being interested only in the result obtained, and the manner and means of conducting such
professional services will be under the sole control of CONSULTANT, except that nothing herein
shall be deemed to negate DISTRICT's right to direct the nature of the Services requested and to
direct the work in terms of timing and coordination with the Projects.
B. CONSULTANT shall secure approval of DISTRICT prior to executing contracts with subcontractors
and prior to retaining subcontractors for any portion of services for DISTRICT.
C. CONSULTANT shall be as fully responsible to DISTRICT for the negligent acts, errors, and/or
omissions of its subcontractors, as it is for the negligent acts, errors and/or omissions of persons
directly employed by it. CONSULTANT will be responsible for review and billing accuracy and for
the direct payment for Services completed or equipment/materials supplied by all of its
subcontractors.
D. Nothing contained in the Agreement shall create any contractual relationship between any
subcontractor and DISTRICT.
E. Indemnification
CONSULTANT shall perform Services in a manner commensurate with prevailing
professional standards of qualified and experienced personnel in CONSULTANT'S field.
2. CONSULTANT agrees to defend, indemnify and hold DISTRICT and each of its officers,
employees, agents and representatives harmless from any claims, damage, liability or
costs (including reasonable attorney's fees and costs of defense) stemming from Services
under this Agreement to the extent such claims, damage, liability or costs are caused by
CONSULTANT'S negligence, recklessness or willful misconduct or by the negligence,
recklessness or willful misconduct of CONSULTANT'S subconsultants, agents, or anyone

acting on behalf of or at the direction of CONSULTANT.
3. DISTRICT agrees to defend, indemnify and hold CONSULTANT and each of its officers,
employees, agents and representatives harmless from any claims, damage, liability or
costs (including reasonable attorney's fees and costs of defense) stemming from Services
under this Agreement to the extent such claims, damage, liability or costs are caused by
DISTRICT'S negligence, recklessness or willful misconduct or by the negligence,
recklessness or willful misconduct of the DISTRICT'S subconsultants, agents, or anyone
acting on behalf of or at the direction of the DISTRICT.
4. The provisions of this section survive the completion of services under or the termination of
this Agreement.
F. Insurance: The following are the basic requirements that CONSULTANT shall be responsible for at
CONSULTANT's sole cost and expense, and for the full term of this Agreement and before
commencement of services hereunder:
1. CONSULTANT shall carry or require that there be carried Professional Liability Insurance,
in the amount of $1,000,000 for each claim and aggregate insurance in the amount of
$2,000,000,
2. Before commencing services, CONSULTANT shall submit evidence of the coverage
required to DISTRICT for review and approval. All such coverage shall be subject to
approval by DISTRICT; approval of which shall not be unreasonably withheld. Such
insurance shall be carried with financially responsible insurance companies, licensed in the
State of California, and approved by DISTRICT; approval of which shall not be
unreasonably withheld. Evidence of coverage shall insure that such policies will not be
canceled without 30 days prior written notice to DISTRICT. Commercial Liability policies,
including Automobile Coverage and Property Damage Insurance, shall name DISTRICT,
its officers, officials, volunteers, and employees as Additional Insured and as such
persons, shall be Prima coverage.
It is the responsibility of the CONSULTANT to provide to the DISTRICT updated insurance
certificates within 30 days after renewal or changes to insurance policies.
4. CONSULTANT shall grant to the DISTRICT a waiver of any right to subrogation which any
insurer of said CONSULTANT may acquire against the DISTRICT by virtue of the payment
of any loss under such insurance. CONSULTANT agrees to obtain any endorsement that
may be necessary to affect this waiver of subrogation, but this provision applies regardless
of whether or not the DISTRICT has received a waiver of subrogation endorsement from
the insurer.

5. CONSULTANT shall require and verify that all subcontractors maintain insurance meeting
all the requirements stated herein, and the DISTRICT shall be named as an additional
insured on insurance required from subcontractors.
6. The District reserves the right to modify insurance requirements, including limits, based on
the nature of the risk, prior experience, insurer, coverage, or other special circumstances.
G. CONSULTANT shall comply with all applicable laws, ordinances and codes of the Federal, State of
California, and local governments. CONSULTANT shall hold DISTRICT harmless with respect to
any damages to the extent arising from any tort committed in the performance of any of the
services embraced by this AGREEMENT due to CONSULTANT's negligence.
H. CONSULTANT is responsible for the health and safety of its employees, subconsultants, agents or
anyone working on behalf or direction of Consultant in the course of Services. CONSULTANT
shall ensure that its employees, subconsultants, agents or anyone working on behalf of or under
the direction of Consultant shall have experience and knowledge of Federal, State and local Health
and Safety regulations and requirements.
CONSULTANT and its associates and employees involved in projects covered under this Master
Agreement covenant that they presently have no interest and that they will not acquire any interest,
direct or indirect, during the term of this Agreement which would conflict in any manner or degree
with the performance of services required under this Agreement.
CONSULTANT shall furnish, at its own expense, all labor, materials, equipment, tools,
transportation and services necessary for the successful completion of the services to be
performed under this Agreement. CONSULTANT shall give its full attention and supervision to the
fulfillment of the provisions of this Agreement and each Task Order by its employees and
subcontractors and shall be responsible for the timely performance of the Services required by this
Agreement.
L. CONSULTANT shall furnish DISTRICT with reasonable opportunities from time to time to ascertain
whether the Services of CONSULTANT are being performed in accordance with this Agreement.
All work done and materials furnished shall be subject to final review and approval by DISTRICT.
DISTRICT's review and approval of the Services shall not, however, relieve CONSULTANT of any
of its obligations under this Agreement.
ARTICLE IV. - CONSULTANT'S FEES
A. CONSULTANT is employed to render professional services only, and any payments made to it are
compensation only for such Services as it may render and recommendations it may make in
carrying out the Services.
CONSULTANT shall submit to DISTRICT an estimate of costs for the authorized Task Order. Said

estimate shall include a breakdown of estimated job classification with corresponding man hours,
hourly rate, and estimated fee, together with estimated expenses. Upon approval by DISTRICT,
said total estimate shall become a Cost Ceiling, and total compensation for said Services shall not
exceed said amount without further authorization by DISTRICT. DISTRICT shall be obligated to
pay only such hourly rates and expenses as are actually incurred by CONSULTANT subject to the
Cost Ceiling.
The rates of compensation in the Task Order are agreed to in anticipation of the orderly and
continuous progress of the Project through completion of the Services contained therein.
CONSULTANT'S obligation to render services thereunder will extend for the period set forth in the
associated schedule, and required extensions thereto. If such dates are exceeded through no fault
of CONSULTANT, then all rates, measures and amounts of compensation provided in the Task
Order shall be subject to equitable, negotiated adjustment, but not otherwise.
B. DISTRICT agrees to pay CONSULTANT for and in consideration of the faithful performance of all
services and duties set forth in this Master Agreement and subsequent Task Orders, and agreed to
be performed by CONSULTANT. CONSULTANT agrees to accept payment from DISTRICT as
and for full compensation for the faithful performance of all said services and duties as the amount
set forth for consulting services for each Task Order.
C. The DISTRICT will not approve any additional compensation unless a change in the scope of the
Services has occurred due to conditions that the parties could not have reasonably anticipated at
the time entering into this Agreement. CONSULTANT shall notify DISTRICT immediately if the
scope of services under the lump sum Task Order is changed substantially, as required in Article
Paragraph D.
D. CONSULTANT shall submit to DISTRICT a monthly, itemized invoice for services completed
during the preceding month. The invoice should also include the purchase order number and task
order number for each Task Order. Payment by DISTRICT to CONSULTANT shall be made within
45 days after receipt and approval by DISTRICT of CONSULTANT's hereinabove described
invoice.
E. Should the DISTRICT dispute any portion of any bill, the DISTRICT shall pay the undisputed
portion within the time frame stated above and, at the same time, advise the CONSULTANT in
writing of the disputed portion. The DISTRICT shall promptly notify CONSULTANT of the dispute
and request clarification and/or remedial action. After any dispute has been settled,
CONSULTANT shall provide a special invoice that accounts for the resolution of the disputed item.
F. The costs for professional services and direct expenses shall be in accordance with the rates and
amounts set forth in the applicable Task Order. In addition, the DISTRICT reserves the right to
request from the CONSULTANT a breakdown of costs associated with the rates for professional
services, including but not limited to direct salary, total overhead, and profit.
G. CONSULTANT shall be solely responsible for the payment of all federal, state or local income tax,

social security tax, worker's compensation insurance, state disability insurance and any other taxes
or insurance which CONSULTANT is responsible for paying as an independent contractor under
federal, state or local law. CONSULTANT shall procure and maintain all licenses necessary for the
performance of the Services, all at the sole cost of CONSULTANT. All of the above shall not be
reimbursable under the Agreement.
ARTICLE V. - MISCELLANEOUS PROVISIONS
A. Any Services subcontracted hereunder shall be specified by written contract or agreement and
shall be subject to each provision of this Agreement.
B. Notice to Proceed - CONSULTANT will not begin services on any Task Order until DISTRICT
directs it in writing to proceed.
C. Submittal of Work Product and Written Notice - All reports and documents which CONSULTANT is
required to furnish to DISTRICT (Work Product) and any other writing which CONSULTANT
desires to give DISTRICT shall be delivered to DISTRICT or by depositing same in the United
States mail, postage prepaid, addressed to:

Any notices or other writing which DISTRICT desires or is required to give or furnish to
CONSULTANT shall be delivered to CONSULTANT by delivering in person or by depositing same

The effective date of such written notice shall be the date of personal delivery of such notice or the
receipt of same in the United States mail. The address to which any notice or other writing may be
delivered may be changed upon written notice by such party as above provided.
D. Ownership of Documents - All documents prepared by CONSULTANT and required to be furnished
to DISTRICT in electronic and hard copy format, shall be the property of DISTRICT after payment
to CONSULTANT. All electronic documents shall be provided to the District in an editable format.
Any use of Work Product for other projects and/or any use of uncompleted documents without
specific written authorization from CONSULTANT will be at DISTRICT's sole risk and without
liability or legal exposure to CONSULTANT and DISTRICT shall indemnify and hold harmless
CONSULTANT from all claims, damages, losses and expenses, including attorney's fees arising
out of or resulting therefrom.
E. Audit of CONSULTANT's Records - The books, papers, records, and accounts of CONSULTANT
or any other consultants retained by CONSULTANT insofar as they relate to charges for services,
or are in any way connected with the work herein contemplated, shall be open at all reasonable
times to inspection and audit by the agents and authorized representatives of DISTRICT. Said
records shall be retained for a minimum of five (5) years after completion of services on the
individual Task Orders.
F. Discrimination - During the term of this Agreement, CONSULTANT agrees in accordance with
Section 1735 of the Labor Code of the State of California not to discriminate against any employee
or applicant for employment because of race, religious creed, color, national origin, ancestry,
physical handicap, medical condition, sex, or marital status. CONSULTANT will take affirmative
action to the limits prescribed by law to ensure that applicants are employed, and that employees
are treated during employment, without regard to their race, religious creed, color, national origin,
ancestry, physical handicap, medical condition, sex, or marital status.
G. Assignment - Neither party shall assign any interest in this Agreement, nor transfer any interest in
the same (whether by assignment or novation), without the prior written consent of the other party;
provided, however, that claims for money due or to become due CONSULTANT from DISTRICT
under this Agreement may be assigned to a bank, trust company or other financial institution
without such approval. Notice of any such assignment or transfer shall be furnished promptly to
DISTRICT.
H. Attorney's Fees - If any legal proceeding is brought to enforce or interpret the provisions of the
Agreement, the prevailing party shall be entitled to recover actual attorneys' fees and costs, which
may be determined by the court in the same action or in a separate action brought for that purpose.
The attorneys' fees award shall be made as to fully reimburse for all attorneys', paralegal and
experts' fees, costs and expenses actually incurred in good faith, regardless of the size of the
judgment, it being the intention of the parties to fully compensate for all attorneys', paralegal and
experts' fees, costs and expenses paid or incurred in good faith.
Confidential Information - During and after the term of this Agreement, CONSULTANT shall not,
directly or indirectly, use, exploit, disclose or divulge to anyone, except appropriate representatives
of DISTRICT, any of CONSULTANT'S Work Product, except as otherwise authorized with
DISTRICT's express consent.
J. Authorization - All officers and individuals executing this and other documents on behalf of the
respective parties certify and warrant that they have the capacity and have been duly authorized to
execute said documents on behalf of the entities indicated.
K. Time of the Essence. Time is of the essence in the performance of this Agreement and each Task

Order. Any breach of any time deadline or schedule by CONSULTANT is agreed by the parties to
be a material breach of this Agreement, providing DISTRICT with termination rights under this
Agreement, in addition to its rights to recover damages, regular, consequential or otherwise. The
failure on the part of CONSULTANT to perform the Services within such time deadline or schedule
when such failure is caused by acts beyond the control of CONSULTANT shall not be considered a
breach of this Agreement and CONSULTANT shall be entitled to an extension of such time
deadline or schedule accordingly.
ARTICLE VI. - CANCELLATION OF AGREEMENT OR SUSPENSION OF WORK
A. This Master Agreement and/or subsequent Task Orders may be terminated in whole or in part in
writing by either party for any reason, providing that no such termination may be effected unless
the other party is given not less than thirty (30) calendar days written notice (delivered by certified
mail, return receipt requested) of intent to terminate.
B. This Master Agreement and/or subsequent Task Orders may be terminated in whole or in part in
writing by DISTRICT for cause, effective immediately upon written notice of such termination to
CONSULTANT, based upon the occurrence of any of the following events:
1) Material breach of this Agreement, Task Order or Task by CONSULTANT;
2) Cessation of CONSULTANT to be licensed, as required by law;
3) Failure of CONSULTANT to substantially comply with any applicable
federal, state or local law or regulation;
4) Filing by or against CONSULTANT of any petition under any law for the
relief of debtors; and,
5) Conviction of CONSULTANT's principal representative or personnel of
any crime other than minor traffic offenses.
C. In the event the Master Agreement or subsequent Task Order(s) are terminated in whole or in part,
CONSULTANT is to be fairly compensated for all approved Services performed under the
terminated Task Order as of the termination date, provided that the total amount of compensation
paid to CONSULTANT does not exceed the Cost Ceiling set forth in the Task Order, and provided
that the CONSULTANT delivers to the District all Work Product due for the Services completed
through the termination date.
D. Upon receipt of a Termination Notice by CONSULTANT from DISTRICT, an equitable adjustment
shall be negotiated to provide payment to CONSULTANT for termination settlement costs
reasonably incurred by CONSULTANT relating to obligations and commitments as a result of
entering into this Master Agreement and the affected Task Order.

E. Upon receipt of a Termination Notice, CONSULTANT shall (1) promptly discontinue all services
affected (unless the Notice directs otherwise), and (2) deliver or otherwise make available to
DISTRICT, copies of data, design calculations, drawings, specifications, reports, estimates,
summaries, and such other information and materials as may have been accumulated by
CONSULTANT in performing the services under the affected Task Order.
ARTICLE VII. — DISPUTES
A. All disputes arising out of or relating to this Agreement or subsequent Task Orders, or the
professional services rendered hereunder, shall be determined by arbitration in EI Dorado County,
California, before a sole arbitrator, in accordance with the laws of the State of California.
B. The arbitration shall be administered by JAMS® pursuant to its Comprehensive Arbitration Rules
and Procedures. Judgment on the Award may be entered in any court having jurisdiction.
C. Costs and attorneys fees in said arbitration shall be borne in accordance with the terms set forth in
Article V.H., above.
ARTICLE VIII. — SEVERABILITY AND WAIVER
A. If any provision of this Agreement is held to be invalid and unenforceable, the remainder of this
Agreement shall be valid and binding upon the parties, provided that the remainder of the
Agreement can be interpreted to give effect to the intentions of the parties.
B. Any waiver at any time by either party hereto of its rights with respect to a breach or default, or any
other matter arising in connection with this Agreement, shall not invalidate this Agreement or be
deemed to be a waiver with respect to any subsequent breach, default or matter.
ARTICLE IX. - ENTIRE AGREEMENT
A. This Master Agreement and the subsequent Task Orders contain the entire understanding between
the parties with respect to the subject matter herein. This Agreement may not be amended except
pursuant to a written instrument signed by all parties.
B. This Master Agreement is to be binding on the heirs, successors, and assigns of the parties hereto
and is not to be assigned by either party without first obtaining the written consent of the other
party, subject to the terms of Article V.G.
C. The term of this Agreement shall commence upon the date first written above and shall continue in
full force and effect for a period no longer than 10 years, unless sooner terminated as provided
herein. Any subsequent Task Orders that are scheduled to exceed the aforementioned duration
shall require that this Agreement be renegotiated and executed prior to adoption of the Task Order.

CONSULTING SERVICES
This Task Order is made and entered into as of the 18th day of August 2016 by and between South
Tahoe Public Utility District, hereinafter referred to as "DISTRICT" and KWA Safety & HazMat Consultants,
Inc., hereinafter referred to as "CONSULTANT".
In consideration of the mutual promises, covenants, and conditions as addressed in the Master Agreement
dated August 18th , 2016 and as specifically hereinafter set forth, the parties do hereby agree as follows:
PURPOSE
The purpose of this Task Order is to provide consulting services to review, assess, and update
applicable Safety Policies in order to create a safe and productive work force and work environment,
and comply with CalOSHA regulations.
2. SCOPE OF WORK
The scope of work under this Task Order 1 will include but not be limited to review of the District's Fall
Protection Program, Forklift Policy, Mobile Equipment Policy, Transite Pipe Program, Lock -Out, Tag -
Out Program, and a Safety Program Needs Assessment. Tasks are more specifically defined in the
attached Firm's Description of Services and Cost Proposal dated June 28, 2016, and Addendum dated
July 26, 2016. This attached documentation is marked Exhibit A, incorporated herein, and made a part
hereof by this reference.
3. STAFFING
Services will be provided by Pamela Murcell, CIH, owner/operator of KWA Safety and HazMat
Consultants, Inc. CONSULTANT shall not change staffing without approval by DISTRICT. Any
changes shall provide for equivalent qualifications as far as possible and practical.
4. TIME OF PERFORMANCE
CONSULTANT anticipates work will begin upon execution of this task order by both parties. It will be
complete on or before June 30, 2017.
PAYMENT
Payment to CONSULTANT for services performed under this Task Order shall be in accordance with
CONSULTANT'S unit fee schedule for the persons assigned to the project task.
The cost for this Task Order 1 shall not exceed Fourteen Thousand, Four Hundred Dollars
($14,400.00), except as provided in Article IV of the Master Agreement.
6. EFFECTIVE DATE
This Task Order No. 1 will become effective upon execution by both parties and shall serve as a

Notice to Proceed upon execution by District.

STANDING AND AD-HOC COMMITTEE REPORTS:
President Vogellgesang reported the Finance Committee met today to review adjusting the District's
customer billing cycle from a quarterly billing to monthly. Director Wallace added only 2% of
agencies surveyed bill on a quarterly basis and there are some great benefits in moving to this cycle.
BOARD MEMBER REPORTS:
Director Wallace provided an update regarding the City's Loop Road lawsuit.
EL DORADO COUNTY WATER AGENCY PURVEYOR REPORT:
Director Wallace reported the next meeting is Wednesday, August 10, at 10 a.m. here in the District
Board Room. Directors Jones, Sheehan and Wallace plan on attending and staff will post a Notice of
Quorum.
GENERAL MANAGER REPORT:
Richard Solbria reported on several items:
The 2016 Lake Tahoe Summit is scheduled for Wednesday, August 31, at Harvey's Outdoor
Amphitheatre. The District has purchased six VIP tickets and has another four general
admission tickets.
Water conservation for July was down 7.4% compared to 2013. This means the District has
conserved 16% from March through July 2016. These numbers indicate that our customers are
thinking about conservation. The District is -09 practicing odd/even watering days.

Cuz Cullen, Inspections Supervisor, provided an update regarding the business located at 2040
Dunlap Drive.
Lynn Nolan reported the District will be conducting a survey of well owners for a potential grant, and
information received will determine whether the District applies for the grant funding.
Melonie Guttry reported two candidates have filed to run for the Board in November: Randy
Vogelgesang and Kirk David. The deadline to file Declaration of Candidacy paperwork is Friday,
August 12, unless the incumbent does not file, in which case the deadline is extended to August 17.
The incumbent cannot file after August 12.

Keller -Heavenly Water System Improvements Project
REQUESTED BOARD ACTION: Approve Amendment No.] to existing Task Order No. 9 for
Farr West Engineering to provide additional engineering for the Keller -Heavenly Water
System Improvements Project for an amount not to exceed $173,006.87
DISCUSSION: On December 17, 2015, the Board authorized Task Order No. 9 for Farr
West Engineering (Farr West) to complete an alternatives evaluation for improvements
to the Keller and Heavenly Zones. The initial contract was awarded following a
competitive Request for Proposal (RFP) process that included seven design firms. Farr
West's original scope was limited due to its timing: (1) tank site investigations could not
be completed during winter conditions, and (2) limited time was available in advance
of the June 30, 2016, EI Dorado County Water Agency funding deadline that funded
the initial alternatives evaluation. The original scope was also limited in scale based on
the team's preliminary understanding of the issues and opportunities for potential
improvements that could be made to the Keller Zone in combination with
interconnections with the Heavenly Zone. After the initial effort, Farr West has $14,760
remaining on their existing Task Order that will be credited to the proposed
amendment.
The expanded scope includes evaluation of additional alternatives including additional
booster station options, Supervisory Control and Data Acquisition (SCADA)
instrumentation improvements within the Keller and Heavenly Zones, potential
improvements at the David Lane Booster Pump Station, and hydraulic improvements
that would better connect Keller and Heavenly zones for fire supply and pumping
efficiency. This additional evaluation is needed to ensure that the selected system
improvements are cost effective while meeting the District's level of service goals.

DISCUSSION: On December 17, 2015, the Board authorized Task Order No. 9 for Farr
West Engineering (Farr West) to complete an alternatives evaluation for improvements
to the Keller and Heavenly Zones. The initial contract was awarded following a
competitive Request for Proposal (RFP) process that included seven design firms. Farr
West's original scope was limited due to its timing: (1) tank site investigations could not
be completed during winter conditions, and (2) limited time was available in advance
of the June 30, 2016, EI Dorado County Water Agency funding deadline that funded
the initial alternatives evaluation. The original scope was also limited in scale based on
the team's preliminary understanding of the issues and opportunities for potential
improvements that could be made to the Keller Zone in combination with
interconnections with the Heavenly Zone. After the initial effort, Farr West has $14,760
remaining on their existing Task Order that will be credited to the proposed
amendment.
The expanded scope includes evaluation of additional alternatives including additional
booster station options, Supervisory Control and Data Acquisition (SCADA)
instrumentation improvements within the Keller and Heavenly Zones, potential
improvements at the David Lane Booster Pump Station, and hydraulic improvements
that would better connect Keller and Heavenly zones for fire supply and pumping
efficiency. This additional evaluation is needed to ensure that the selected system
improvements are cost effective while meeting the District's level of service goals.

Site investigation is a significant portion of the proposed amendment. To compare the
existing Keller Tank site to two potential alternative sites, geologic, geotechnical and
rock fall site investigations are proposed. The investigation will take a stepwise
approach, with an opportunity for a "no-go" decision for a site at each step. As such,
the proposed $124,666.87 for site investigation work represents the maximum budget
anticipated to fully investigate the three tank sites for evaluation purposes. The
proposed amendment includes a geologic hazards investigation, field drilling and
sampling, laboratory testing, and reporting; it is anticipated that not all of the identified
work will occur, resulting in significantly less than the $124,666.87 identified for these
work items being used. Any savings will be carried into a future design phase.
Farr West has an existing Master Services Agreement (MSA) with the District and is
available to begin work immediately. Work will be performed on a time -and -materials
basis not to exceed $173,006.87, as an Amendment to the current Task Order and
existing MSA. Upon completion of the proposed scope of work, staff will evaluate the
proposed alternatives and scoring to recommend a preferred project for design and
construction.

Farr West Engineering (Farr West) appreciates the opportunity to continue its efforts to assist the South Tahoe
Public Utility District (District) with the District's Keller -Heavenly Water System Improvements Project
(Project). Per coordination with the District, Farr West is requesting a contract amendment to the Task Order
No. 9, dated December 17, 2015. The purpose of this Amendment #1 is to incorporate additional site
exploration and investigation of additional water system hydraulic options to allow for adequate information to
be collected and analyzed under Phase 1. This information will solidify all alternatives evaluation approaches
allowing for the District to determine the most beneficial Project to continue forward with funding and design
(Phase II).
All work performed under this amendment will be incorporated into the alternatives evaluation report under the
same guidelines of the draft that was previously submitted on May 26, 2016. If additional evaluations warrant
modification to criteria formatting, adjustments will be made accordingly. Task numbers identified in this
addendum correlate to task numbers from the original scope.
Efforts presented within this Amendment represent the anticipated maximum efforts required to complete
Phase 1 of this Project. Actual costs will be determined through site investigation findings as they govern
subsequent efforts for geotechnical investigations.
TASK 2: ALTERNATIVES EVALUATION
Alternatives Analysis
Farr West and the District held a meeting on June 22, 2016 to review the initial draft report. This meeting
included discussions of modified approaches to previously investigated alternatives, such as a single terminal
tank rather than two. The meeting also included discussions of additional alternatives to be analyzed. Below is
a summary of the additional approaches to previous alternatives and the new alternatives which were discussed
during the draft review meeting on June 22"d. The complete list of alternatives to be considered through this
amendment is included below and as Attachment B of this memo.

Additional Approaches, to Previous Alternatives:
Modifications to the previously analyzed alternatives are listed below. Farr West will review applicable
modifications and new or revised approaches to each existing alternative, while completing necessary water
modeling, hydraulic analyses, and report content. All additional results and findings will be incorporated into
the overall alternatives evaluation in the form of a revised draft report.
■ Analyze the interactions between different alternatives as a whole rather than viewing the tank, booster,
and hydraulic alternatives as independent recommendations;
a l tank vs. 2 tanks; bolted steel vs. welded steel;
• Potentially reduce the required size of tanks according to needed fire storage;
• Check valve (or 2 check valves in sequence) instead of PRV's;
■ Rebuild / modernization of Keller BPS - move across street;
0 Miscellaneous hydraulic improvement options reflective of alternatives, and
■ SCADA modernization of Keller BPS - in place of "No Action" alternative.
New Alternatives:
Below are the new alternative approachesidentified by the District and Farr West to analyze in addition to the
previous alternatives. Farr west will perform all water modeling and hydraulic analyses required to understand
each alternative, how it interacts within the system, and its overall impacts.
Booster Station Options:
• Mid Mountain Booster Pump Station (BPS) (would supply Keller and Heavenly Valley tanks).
■ David Lane BPS Improvements - install backup generator, analyze capacity of pipes from David Lane
BPS to Mid Mountain BPS.
Ilydraulics Options:
• Replacing Keller mains,
• Fire service improvements for Heavenly Valley Resort and Tahoe Seasons Resort,
■ Sweeping Turn and June Way pressure zone combination, and
■ Needle Peak and Heavenly pressure zone combination.
Tanks Options:
No Keller zone tank - use Heavenly Valley tank and BPS to reach high end of zone.
Potential third tank site, "Sherman Tank."
For purposes of this Amendment, we have estimated eight (8) additional alternatives, excluding "No Action"
alternatives and potential tank sites. These eight alternatives represent the main alternatives, excluding the
potential tank sites. As the tank sites will be analyzed similarly (hydraulics, size, etc.), the selected site will be
incorporated into one of the eight alternatives without expansive analysis.
Farr West will analyze each alternative individually as presented above and included in Attachment B.
Alternatives will then be reviewed in a holistic approach to analyze how they interact together within the system
in efforts to identify the best Project. Interaction with the District will occur throughout this process. This
Amendment anticipates three (3) total meetings with the District at its office throughout Phase 1. A "No

Action" alternative will be presented in the findings as a baseline comparison for the District and its funding
agencies.
As additional alternatives are included in this Amendment, it is anticipated that the criteria approach previously
determined will require modification. Therefore, efforts for adjustments to the criteria to accommodate all
alternatives have been included.
The District is currently working to gather additional information that will be required for these analyses,
including, but not limited to, SCADA data, PRV status and operation verification, storage tank calculation
determination, fire suppression system information for the Tahoe Seasons and Heavenly Valley resorts, etc. as
stated in the Draft Report Meeting Minutes. Additionally, any assistance as work proceeds will be included in
the report.
Preparation of Draft Report
This task includes the preparation of a draft report. A preliminary draft report was previously submitted to the
District. This report will be utilized for the continuation of all work performed under this amendment. The
draft report will summarize the alternatives evaluation process and the selected project. It will include the
design criteria, evaluation process results, preferred alternative, project descriptions, and planning level opinion
of probable costs. This report will serve as the basis for moving the project forward into the design phase and
potential NEPA and CEQA efforts.
Farr West will provide a new draft report to the District for review and comment. Upon review, Farr West will
attend a draft report comment review workshop meeting with the District. All comments by the District will be
reviewed and incorporated into a final report that will be provided to the District.
Preparation of Final Report
This effort was not completed under the base contract. The associated time included in this amendment for the
preparation of the final report consists of the additional time requirements due to the increased Project
components. Therefore, the remaining final draft budget from the original scope ($6,651) will be utilized, in
addition to the amount set forth in this Amendment for the generation of the final report.
Preparation of 10% Design Drawings
This effort was not completed under the base contract. There will be no additional effort or cost included in this
amendment. All work will be performed through the previously approved contract and associated time and fee.
TASK 3: SITE INVESTIGATION EFFORTS
Site investigation efforts were originally scheduled to occur during Phase II; however, it was decided to
accelerate these efforts to this Phase I amendment to collect and analyze the geotechnical, geological hazard,
and rock fall components of each tank site. This will allow for accurate results and determinations of design and
construction related information.
Survey
Preliminary Phase i efforts have identified two potential new sites for the water storage tanks and the existing
Keller Tank site (3 sites). The potential sites are thought to exist on Heavenly property, USFS property, or a
combination of the two. In order to accurately determine the site locations and what property impacts may exist,
initial site surveying will occur within this amended scope. Farr West will perform a preliminary investigation
of the parcel boundaries of the subject parcels. Field evidence of property corners and boundary locations will
be measured and compared to record information. A preliminary boundary determination will be provided to the

design team upon completion of the surveys. A gathering of sufficient field shots will be collected to determine
a rough slope of each site for preliminary estimates of grading.
Additionally, all existing and potential tank sites will be surveyed to verify the floor elevations. The existing
Keller Tanks will be surveyed prior to the survey for the potential World Cup and Sherman tank sites. Field
shots will be taken at each site at a sufficient quantity and in key locations within the sites to provide elevation
data to the design team for their analysis
Special Conditions & Items needed:
1. Client to supply current Preliminary Title Report and any pertinent supporting documentation.
2. Permission from land owner for access or right of entry documents provided by client.
Geologic Hazards Investigation
CME has coordinated with Stantec Consulting Services Inc. (Stantec) to provide a geologic hazards
investigation of the potential tank sites previously identified by the project team. Stantec will provide a
Certified Engineering Geologist to determine if the selected sites are located in a former rock/land slide area or
if other geologic hazards are observed. The intent of this effort is to provide preliminary determination of a site
and if it is located in an unfavorable setting. This will allow the design team to eliminate any unsuitable sites
from further geotechnical and rockfall investigations.
Further detail of the geologic hazards investigation can be found in Attachment C of this scope.
Geotechnical
CME will perform all geotechnical investigations of the potential tank sites and their access roads to determine
the physical condition information required to provide final conclusions and recommendations for the Project.
CME will work in conjunction with Stantec to map existing cut slopes and outcrops for the tank sites. CME will
perform geophysical investigation of the sites by means of refraction studies.
CME will contract with sub -contractors to perform on-site testing of the subsurface materials. This will include
test pit excavation and investigation. Once geologic and initial geotechnical investigation is complete, the
project team can select a single site for the terminal tank. Exploratory drilling will occur at this time to gather
additional data of a single alternative tank site to support the Project design. This task and associated fees for
field work include anticipated weekend work in efforts to minimize the impact of traffic and Heavenly Ski
operations. The District will assist in obtaining permitting, site access, temporary grading, and tree removal.
CME will provide summary reports with findings and opinion of probable costs.

Rockfall
Kane Geotechnical will perform site investigations under this scope to collect data to support their- analysis of
rockfall hazards and mitigation options for the Project. Kane personnel will visit the project site to evaluate the
site conditions and physically verify the locations of each hazard. Significant rockfall hazards will be identified,
inventoried, and photographed. Data will be utilized in rockfall analyses to determine appropriate mitigation
measures.
Kane will provide a report of findings assessing all hazards, mitigation recommendations, and opinion of
probable costs.

BUDGET
This Amendment includes additional time and budget to the original scope, required to complete the tasks
identified above. The original scope included a subtask identified as "Additional analysis - Identified by User
Group" that was allocated to additional efforts as a slush fund. As of the date of this Amendment, the current
remaining budget of the original scope (excluding required rollover budget tasks) is $14,760.00. This amount
will be considered a credit of unused / unallocated budget from the original scope and is shown as such in
Attachment A.
The total budget for all phases of this Amendment will not exceed $173,006.87. The estimated fee will not be
exceeded without prior authorization. Attachment A presents the spreadsheet of our estimated staff hours with
costs broken down by Task. The work will be billed on a time and expense basis according to the 2016 Farr
West Rate Schedule.

Dear Mr. Van Dyne,
Enclosed is our cost proposal to complete a geotechnical investigation for the proposed South Tahoe
Public Utility District (STPUD) Keller Water Tank Replacement located in South Lake Tahoe, California.
Included in this proposal is our understanding of the project and our proposed scope of services.
1.0 PROJECT DESCRIPTION
STPUD is planning to replace the existing water tanks at the Keller Tank site. Because of rock fall
potential along the east side of the tank pad and to improve the water system, two construction options
are being considered:
➢ Replace the existing water tanks and install rockfall protection at the Keller Tank site. Two new
water tanks may be constructed on the existing water tank footprints or a single water tank may
be constructed. A new water line may be constructed in the existing access road. The existing
access road may also be improved by construction of a vehicle turn around at the end of the dirt
access road, which will require the construction of a new retaining wall.
➢ Abandon the Keller Tank site and construct new water tanks at either two alternative sites:
Sherman Tank site or World Cup site. Both of these sites are located about a % mile west of the
Keller Tank site in the Heavenly Valley Ski Resort. These alternative sites are accessed via a dirt
road, beginning at the west end of Sherman Way. A new water line will also be constructed in the
existing dirt access road and extend to the new water tank(s).
Anticipated cuts and fills for these sites have not been determined, but will be assumed at
25 feet.
It is understood that the existing access road at the Keller Tank site is located in USFS property and will
be required to be stabilized and restored to reflect the original terrain. This will involve removing the
existing "lego" tracks and retaining wall located along the upslope of the roadway. The existing roadway
area will be regraded to blend into the existing slope.

2.0 SCOPE OF WORK
Subsurface exploration includes vertical test borings, test pit excavations, and geophysical field
measurements. The field work will be phased to allow preliminary geotechnical assessment of the two
alternative tank sites (Sherman Tank or World Cup Site). Based on the results of the preliminary
geotechnical assessment, a final tank location will be selected prior to the final geotechnical investigation.
A summary of the phased approach is as follows:
2.1 Phase 1
1. Geologic Hazards Investigation
a. A CEG (Certified Engineering Geologist) subconsultant, Stantec, will be retained to
investigate and assess if the selected sites are located in a former rock/land slide area or
if other geologic hazards are observed. If the geologic hazards study determines that
either the Sherman Tank site or World Cup site are not feasible for construction, then any
additional work on the site will not be pursued.
2. Geologic Surface Mapping and Refraction Study
a. Existing cut slopes and outcrops will be mapped where located. Any mapping that
Stantec completed with their investigation will be incorporated into this phase of the
investigation. Additionally, if a site is eliminated with the geologic hazards investigation,
this effort will not be pursued.
b. Geophysical refraction studies will be conducted at both the Sherman and World Cup
Tank Sites. This effort will not be conducted on a site that has been eliminated based on
prior findings. We will present the results of this investigation including a discussion on
implications with grading based on whether blasting or conventional construction
equipment could be used to excavate the bedrock.
c. Further investigation of possible routes to the sites to minimize the excavation of ramps
for the drill rig. This will be completed during our site visits with our previous
investigations and will not be conducted on sites that have been eliminated.
3. Summary report with findings
2.2 Phase 2
1. Test pit excavations and Investigation
a. The proposed water line alignment will be investigated by excavating test pits at
both the Heavenly Valley Tank Sites and Keller Tanks Sites.
b. Costs will be separated for hiring a contractor directly or STPUD providing the excavation
equipment.

2.3 Phase 3
1. Final Investigation on selected water tank site, based on our previous findings.
The final investigation will be completed, depending on the findings of Phases 1 & 2. The final
investigation may be completed prior to the design phase.
3.0 Exploration
3.1 Phase 1
We will review Stantec's investigation and existing surface mapping. We will investigate the site and
provide surface mapping for any gaps in Stantec's investigation. Prior to both Stantec's investigation and
our investigation, it assumed that the boundaries for the site will marked in the field and a topographic
map will be provided.
3.1.1 Geophysical Measurements
Geophysical measurements will also be completed to determine subsurface shear wave
velocities (ReMi) to depths of 100 feet below the existing ground surface. Test results are used to
determine site classification for seismic analysis and provide supplemental information on
subsurface soil/bedrock strength parameters.
A refraction study will also be completed at the tank pad site. The refraction compressional wave
model will be correlated to existing tables to determine the rippability of the underlying bedrock.
3.2 Phase 2
3.2.1 Test Pit Excavations
Test pit excavations will be completed using a track mounted excavator. Exploratory test pits will
be excavated within the dirt access road to investigate water line constructability, and at the
Keller Tank site. The following number of test pits are anticipated:
➢ Three to four test pits will be excavated along the dirt access road. Our cost estimate for
this phase of the work is separated into both weekday and weekend work to reduce
possible conflicts with Heavenly Valley personnel roadway access (refer to Section 3.3);
➢ Three to four test pits will be excavated at the Keller Tank site. Because of site access
available exploration areas are limited. The intent of the field exploration is twofold:
10 Excavate test pits near the existing access road to determine constructability of a
new water line; and
Determine geologic conditions at the end of the access road for the construction
of a vehicle turn around area.
It should be understood that the trackhoe will be driving over the existing "lego" tracks
and may damage these tracks. If this is a concern, a rubber -tired backhoe could be used;
however, may not be able to penetrate to similar depths as the trackhoe.

Test pits will be excavated to depths ranging from 5 to 12 feet below existing grade, or to practical
refusal (whichever is reached first). Our geotechnical personnel will log material encountered
during exploration in the field. The soil/bedrock profile encountered will be classified and general
rock descriptions provided. Bulk soil/rock samples will be collected for laboratory testing.
Representative samples will be returned to our laboratory for testing. Colors of representative
strata will be noted in general accordance with the Munsell Color Chart'.
Groundwater levels, if encountered, will be measured. Areas of potential seepage will also noted
if encountered.
Test pits will be backfilled with the excavated spoils and tamped into place with the trackhoe
bucket. Test pit excavation backfill located within the access roadway will be placed in lifts,
moisture conditioned, and densified with a whacker.
We mark our field exploration locations and contact USA Dig for utility clearance prior to
exploration. CME will take every precaution to lower the risk of damaging underground structures;
however, underground exploration is inherently risky as it is not possible to precisely locate all
underground structures. Our fee is not substantial to compensate for damage or disruption of
service and repair costs. If insufficient or incorrect data results in damage to underground
structures, the cost for repair will be the responsibility of the client.
3.3 Phase 3
Phase 3 assumes that the geotechnical investigation is for one site only.
3.3.1 Site Access and Temporary Site Modifications
An existing dirt road beginning at the terminus of Sherman Road is the primary access to the site.
A locked gate is located at the beginning of the dirt road. The two alternative water tank sites are
located about a''/4 mile from the terminus of Sherman Way and upslope from the dirt access road.
Temporary dirt access ramps will be required along the dirt road cut slope to access the sites with
a track mounted drill rig. Photo # 1 shows the proposed temporary ramp location from the dirt
access road for the World Cup Site. Note the steep gradient along the road shoulder and
existing obstacles including a small tree, boulders, and tree stump.

The ramps will be constructed with a track mounted excavator using onsite materials to avoid
importing materials and may potentially require a grading permit. The size of the ramp will be
dependent on the actual slope of the steepened shoulder. The ramp at the Sherman tank site
will require more grading than the World Cup site. Photo #2 shows the bend in the road site. The
location of the ramp for this site has not been determined. We will also investigate using a steel
plate to offload the track rig.
Ramps may encroach onto the existing dirt road, potentially blocking the travel lanes. It is
understood that this road is used by Heavenly Valley personnel on a daily basis with heaviest
travel during the week days. Travel on the weekend is far less. We will attempt to keep the road
open as much as possible, but temporary blockage of the road will be required. Coordination with
Heavenly Valley will be required to determine their travel times on the road. Blocking the dirt
access road during the week may not be feasible and the project work may have to be completed
on the weekend.
Also, as part of the temporary site access preparation, logs and small stumps may need to be
removed to provide a pathway to the site. A few trees less than 14 dbh (diameter breast height)
will need to be removed. A field meeting can be coordinated with project design team to flag an
appropriate access path to the site marking trees to be removed.
Minor leveling at the boring locations may need to be completed to allow a relatively level pad for
the drill rig.

During site access preparation, the carefully moved logs and pine duff will be stockpiled and
following field exploration, the site will be "relatively restored". Minor site grading completed will
be raked back into place, logs and pine duff will be returned to disturbed areas, and the ramp will
be deconstructed and loose soils tamped into place. The removed trees and stumps will be
hauled off site depending on the quantity. Additional trips at additional cost may be required.
Invariably disturbance to the site will occur, especially when traveling over the underbrush.
It is unclear if tree removal or temporary grading permits will be required by TRPA for this
exploration. We will notify the client of the proposed access route and temporary site grading,
(grading, encroachment, tree removal, etc.) may be required for our proposed scope of work.
3.2.2 Field Exploration
Following site access and temporary site modifications, subsurface field exploration will include
test borings and test pit excavations. Field exploration may require weekend work and this option
will be provided in this proposal.
Two test borings will be drilled at the proposed water tank locations. Borings will be advanced to
a depth of about 30 feet using both hollow -stem auger and rock coring technique. Borings depths
have been deepened versus the anticipated cut depths to comply with TRPA regulations. It is
assumed that site soils will consist of coarse grained colluvial material with cobbles and large
boulders, underlain by granodiorite bedrock.

Rock cores will be laboratory tested for unconfined compression strength. All rock cores will be
boxed, RQD will be measured, and cores photographed.
Borings will be backfilled with cement bentonite grout upon completion to comply with EI Dorado
County Ordinances.
Test pit excavations will be completed using a track mounted excavator. Exploratory test pits will
be excavated at the proposed water tank sites. A minimum of two test pits will be excavated at
the water tank site. The purpose of the test pits is to provide supplemental information on the
depth to bedrock and bedrock excavatability.

3.2.3.1 Soils Hydrologic Scoping Report
TRPA Soils/Hydrologic Scoping report is required for cut depth approval. The TRPA Code of
Ordinances requires property owners proposing an excavation deeper than 5 feet to submit a
soils/hydrology report z.
In general the Soils/Hydrologic application process includes:
➢ Preparation of the Soils/Hydrologic Report Application and Checklist. This application is
typically complete by the project planner in conjunction with the property owner. The
application requires an original signature from the property owner;

➢ Preparation of the Soils/Hydrologic Scoping Report. This report will outline the
anticipated subsurface conditions and outline the area of the proposed maximum cut.
CME has a staff of licensed professionals able to complete this task;
➢ Following submittal of the Soils/Hydrologic Report and Application our representative will
coordinate with TRPA to schedule a site review and complete the required subsurface
investigation. There is generally a two week wait time for the field review which is
generally completed during the field exploration. It is unclear if there will be a conflict with
TRPA review if our field work is completed during the weekend. The subsurface
investigation generally requires a test pit or vertical boring to a depth of 25 percent below
the maximum excavation depth (per TRPA Code Subsection 33.3.6.A. and Subsection
33.3.6.A.1); and
➢ Submittal of subsurface exploration logs to TRPA for excavation approval.
This task is not required to complete our geotechnical assessment, however; if this site is
selected as the location for the proposed water tank replacement, a soils/hydrologic scoping
application and report will need to be prepared and submitted to TRPA. This may include
remobilizing equipment to the site to complete the required subsurface exploration and site
review. Coordination with TRPA will be required to determine if the application and filing fee will
be required for this scope of work.
This task can be included with the proposed exploration as subsurface exploration equipment will
be mobilized to the site. Estimated fees for this task are included in Tables 1 and 2 in Section 4.0
of this proposal.
3.2.3.2 EI Dorado County Boring Abandonment Permit
EI Dorado County requires a permit to abandon test borings with concrete or grout. A permit will
be obtained prior to the field exploration.
3.2.3.3 Other permits
The field exploration plan is based on not traveling over or exploring on USFS property.
Consequently, a permit should not be required. Other permits may include a grading permit
or a permit to remove trees, which are not included in our scope of work.
4.0 Laboratory Testing
Representative samples of each significant soil type will be tested in the laboratory. The purpose of the
laboratory test program will be to evaluate the engineering and mechanical properties of soil samples
collected in the field. We anticipate the laboratory test program will consist of the following:
➢ Grain size distribution;
➢ Plasticity;
➢ Moisture Content;
➢ Moisture density relationship test;
➢ Direct shear testing on representative soil samples;
➢ unconfined compression strength on selected rock core samples;

We will coordinate with an outside laboratory testing firm to complete one corrosion panel at the tank site
and for the water line alignment to include the following:

6.0 SCHEDULE
Field exploration schedule will vary depending on phases of work, as follows:
6.1 Phasell
It is anticipated that once we receive approval to proceed, field exploration can begin within 5 to 7 days.
Field work is anticipated to take one day to complete. A draft written report will be completed in about 2
weeks after the completion of our field investigation.
6.2 Phase 2
It is anticipated that once we receive approval to proceed, field exploration can begin within 7 to 10 days,
depending on coordination with the subcontractor and if work has to be completed on the weekend. Field
work is anticipated to take one day to complete. A draft written report will be completed in about 2 weeks
after the completion of our field investigation.
6.3 Phase 3
Because two different subcontractors are planned for this project, coordination on schedules between
these subcontractors will require advanced notice, especially during the busy summer season.
Exploration start times will also depend on obtaining permits. Our firm will coordinate with EI Dorado
County to submit an application for a bore hole permit. It will take approximately 7 days to receive
approval to drill once the bore hole permit is submitted. It is assumed any permits required for site
access, temporary grading, and tree removal will be obtained by the client. We will assist in obtaining the
permits.
It is anticipated that once we receive approval to proceed, field exploration coordination will require at
least two weeks and possibly longer, especially if weekend work is required. The field investigation is
anticipated to take 2 days to complete. An additional day to restore the tank sites may also be required.
A draft written report will be completed in about 3 weeks after the completion of our field investigation.

7.0 FEES
We will provide our services, as outlined in Sections 2 to 5, on at time and materials basis. It is unclear if
the proposed exploration will be required to be completed on a weekend. The price of the exploration
equipment will increase for weekend work as it is outside of standard fees.
A breakdown of estimated fees is separated by the different phases and are included in Tables 1 to 5.
Table 1 is for the Phase 1 investigation. Phase 2 pricing is broken down in Tables 2 and 3, separated by
either weekday or weekend work. Phase 3 pricing is also broken down in Tables 4 and 5, separated by
either weekday or weekend work.
All estimates assume field exploration will be completed this season prior to the TRPA October 15`h
grading deadline. Due to the small grading window, it may be difficult to locate an excavation contractor
within the Tahoe Basin able to complete the work this season. If a local contractor is not available, pricing
includes the cost of mobilizing excavation contractor to the site from the Reno/Carson City area.

Rockfall Investigation and Report of Findings

Dear Mr. Van Dyne:
KANE GeoTech, Inc. (KANE GeoTech) is pleased to present this proposal to provide an
engineering assessment following a site instigation and a Report of Findings, including rockfall
mitigation recommendations at the subject property for "Client".
It is understood that KANE GeoTech will perform a detailed rockfall analysis for the existing site
of the Keller Tanks, and also investigate the rockfall hazards at any additional potential water tank
locations identified by the Client.
Toward this end, KANE GeoTech proposes the following Scope of Work:
1. Site Investigation. KANE GeoTech personnel will visit the Project site to evaluate the site
conditions. The site investigation will be thorough enough that all parameters essential to
produce Engineered Drawings for construction are investigated. KANE GeoTech will physically
verify the locations of rockfall hazards within the project limits that need to be mitigated.
The approach will be as follows:
— Two teams of two engineers/geologists will investigate the three identified sites for rockfall
hazards.
— Data will be collected and utilized in rockfall analyses to determine appropriate militation
measures.
— Significant rock hazards will be identified, inventoried, and photographed.
2. Recommendations. KANE GeoTech will prepare a Report of Findings containing an
engineering assessment of the rockfall hazards at the Project site. The report will identify all
hazards and provide options and recommendations to mitigate, treat, and/or remove the
hazards. These recommendations will include all areas within the project limits. The report will
include the results of our investigation as well as updated estimated costs for the various
options.

Cost of Services. KANE GeoTech will provide the proposed scope of services described above
for a fee of $13,275.96. The quoted fee is good for 30 days.
Scheduling. KANE GeoTech acknowledges that timely performance of services is a very
important element of this proposal, and consistent with sound professional practices, KANE
GeoTech will make a diligent effort to complete the Report of Recommendation in a timely
manner. Upon receipt of the authorized proposal and agreement, the project will be placed on our
active job list. Based on our current workload and backlog, it is currently estimated that the site
investigation will take place within two to four weeks (weather permitting) of the formal
authorization. The Report of Recommendations will be submitted within three weeks after the site
investigation is complete.
It is possible that unforseen conditions, occurrences, and/or changes to the project may occur
which could require a revision of the time necessary for this study. Additionally, revisions to
supplied drawings, project specifications, and/or other documents could alterthe necessary scope
of services required to complete this work when such revisions are inconsistent with information
or plans supplied, or due to causes beyond the control of KANE GeoTech These revisions may
be inconsistent with supplied information or plans and cause delays beyond the control of KANE
GeoTech.
Exclusions. Excluded from this proposal are the costs of any additional tasks including, but not
limited to:
• Additional meetings required by the Client or others
• Geotechnical work not described above
• Engineering design, specifications and drawings
• As -built drawings
• Preparation of any addendum or update reports or letters that are necessary following
completion of our initial Report of Findings
KANE GeoTech can accomplish the excluded work upon request. Please contact our office for
further information.
Performing of engineering geologic and/or geotechnical engineering studies does not
assure or guarantee that the proposed project will be feasible from a geologic or
geotechnical engineering standpoint. It should be clearly understood and accepted that
unfavorable or undesirable findings, conclusions, and recommendations concerning the
site and proposed project may result from one or all of the studies performed in
association with the proposed project. Furthermore, in complex geologic/geotechnical
environments there is a risk of not being able to satisfythe City/County geotechnical staff
or their subcontracted geotechnical consultants and obtain projectapproval no matterhow
extensive the assessment. KANE GeoTech will work to satisfy said parties as best as
possible.

PROFESSIONAL ENGINEERING SERVICES AGREEMENT
THE AGREEMENT
ThisAGREEMENT is made byand between: KANE GeoTech, Inc. hereinafter referred to as KANE GeoTech, and Matt
Van Dyne, P.E., Senior Project Manager, Farr West Engineering, 5510 Longley Lane, Reno, Nevada 89511,
hereinafter referred to as CLIENT.
The AGREEMENT between the parties consists of these terms and the SCOPE OF WORK, and any exhibits or at-
tachments noted in the SCOPE OF WORK. Together, these elements will constitute the entire AGREEMENT
superseding any and all prior negotiations, correspondence, or agreements either written or oral. Any changes to this
AGREEMENT must be mutually agreed to in writing.
SCOPE OF WORK
Rate Schedule and Work described in letter of June 14, 2016: "Keller Tank Rockfall Phase 2, Rockfall Investigation
Report of Findings, EI Dorado County, California ."
STANDARD OF CARE
Services performed by KANE GeoTech under this AGREEMENT are expected by CLIENT to be conducted in a
manner consistent with the level of care and skill ordinarily exercised by members of the civil engineering profession
practicing contemporaneously under similar conditions in the locality of the project. Under no circumstance is any
warranty, expressed or implied, made in connection with the providing of civil engineering services.
BILLING AND PAYMENT
CLIENT will pay KANE GeoTech for the services described in the SCOPE OF WORK. Additional work beyond the
Scope will be billed according to our Rate Schedule which is included as part of this contract.
Invoices will be submitted monthly to CLIENT by KANE GeoTech, and will be due and payable upon presentation.
If CLIENT objects to all or any portion of any invoice, CLIENT will so notify KANE GeoTech in writing within fourteen
(14) calendar days of the invoice date, identify the cause of disagreement, and paywhen due that portion of the invoice
not in dispute. The parties will immediately make every effort to settle the disputed portion of the invoice. In the
absence of written notification described above, the balance as stated on the invoice will be paid.
Invoices are delinquent if payment has not been received within thirty (30) days from date of receipt by client. CLIENT
will payan additional charge of one -and -one-half (1.5) percent per month (or the maximum percentage allowed by law,
whichever is lower) on any delinquent amount, excepting any portion of the invoiced amount in dispute and resolved
in favor of CLIENT. Payment thereafter will first be applied to accrued interest and then to the principal unpaid amount.
All time spent and expenses incurred (including any attorney's fees) in connection with collection of any delinquent
amount will be paid by CLIENT to KANE GeoTech per KANE GeoTech'scurrent fee schedules. In the event CLIENT
fails to pay KANE GeoTech within sixty (60) days after invoices are rendered, CLIENT agrees that KANE GeoTech
will have the right to consider the failure to pay KANE GeoTech's invoice as a breach of this AGREEMENT.
TERMINATION
This AGREEMENT may be terminated by either party seven (7) days after written notice in the event of any breach
of any provision of this AGREEMENT or in the event of substantial failure of performance by the other party or if
CLIENT suspends the work for more than three (3) months. In the event of termination, KANE GeoTech will be paid
for services performed prior to the date of termination plus reasonable termination expenses, including, but not limited
to the cost of completing analyses, records, and reports necessary to document job status at the time of termination.

DISPUTES RESOLUTION
All claims, disputes, and other matters in controversy between KANE GeoTech and CLIENT arising out of or in any
way related to this AGREEMENT will be submitted to "alternative dispute resolution" (ADR) before and as a condition
precedent to other remedies provided by law. If and to the extent CLIENT and KANE GeoTech have agreed on
methods for resolving such disputes, then such methods will be set forth in the "Alternative Dispute Resolution
Agreement" which, if attached, is incorporated into and made a part of this AGREEMENT. If no specific ADR
procedures is set forth in this AGREEMENT, then it shall be understood that the parties shall submit disputes to
mediation as a condition precedent to litigation.
If a dispute at law arises from matters related to the services provided under this AGREEMENT and that dispute
requires litigation instead of ADR as provided above, then;
1. the claim will be brought and tried in judicial jurisdiction of the court of the State of California where KANE
GeoTech's principal place of business is located and CLIENT waives the right to remove the action to any other
county or judicial jurisdiction, and
2. the prevailing party will be entitled to recovery of all reasonable costs incurred, including staff time, court costs,
attorneys fees, and other claim related expenses.
INSURANCE
KANE GeoTech certifies that it has and will maintain in effect insurance coverage as set forth below:
1. Workers' Compensation and Employer's Liability: Complies with the laws of the State of California
2. General Liability: Comprehensive liability insurance in the amount of $1,000,000
3. Automobile Liability: Commercial automobile liability insurance in the amount of $1,000,000
4. Errors and Omissions. Professional Liability insurance in the amount of $1,000,000
5. Certificates: KANE GeoTech will provide certificates as evidence of the coverage described above to Client or
to Client's clients, as requested.
MISCELLANEOUS PROVISIONS
The CLIENT and KANE GeoTech, respectively, bind themselves, their partners, successors, assigns, and legal
representatives to the other partyto this Agreement and to the partners, successors, assigns and legal representatives
of such other party with respect to all covenants of this Agreement. Neither CLIENT nor KANE GeoTech shall assign
this Agreement without the written consent of the other.
This Agreement represents the entire and integrated agreement between the CLIENT and KANE GeoTech and
supersedes all prior negotiations, representations, or agreements, either written or oral. This Agreement may be
amended only by written instrument signed by the CLIENT and KANE GeoTech.
Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third
party against either the CLIENT or KANE GeoTech.
KANE GeoTech shall have the right to include representations of its services and report(s) among KANE GeoTech's
promotional and professional materials. KANE GeoTech's materials shall not include the CLIENT's confidential and
proprietary information without first informing the CLIENT and obtaining the CLIENT's consent thereto, in writing. The
CLIENT shall provide professional credits for KANE GeoTech on the CLIENT's promotional materials for the project.
GOVERNING LAW AND SURVIVAL
The law of the State of California will govern the validity of these TERMS, their interpretation and performance.
If any of the provisions contained in this AGREEMENT are held illegal, invalid, or unenforceable, the enforceability of
the remaining provisions will not be imputed. Limitations of liability and indemnities will survive termination of this
AGREEMENT for any cause.
