November 2, 2016 Shannon Cotulla South Tahoe Public Utility District 1275 Meadow Crest Drive South Lake Tahoe, CA 96150 RE: Letter of Interest — Proposal to Lease Space to Verizon Wireless for Installation of a Communications Facility Dear Mr. Cotulla: Epic Wireless Group, Inc. is an authorized representative for Verizon Wireless. Verizon Wireless is researching properties in the vicinity to locate a wireless communications facility (cell site) in order to improve the wireless cell phone coverage in the surrounding commercial and residential areas. This letter is to confirm Verizon Wireless' interest to lease space on the property located in South Lake Tahoe, CA 96150 (APN 025-041-19-100) for the purpose of installing a wireless communications facility (cell site). 1) Lease Premises: Proposed lease area of 900 sq. ft. (approximately) for equipment, antennas, and a tower within the proposed Verizon Wireless lease space. 2) Use: Construction, operation, and maintenance of a cell site for the transmission and reception of radio communications signals. 3) Term: Verizon Wireless proposes an initial term of five (5) years plus four (4) automatic renewal options for a total of twenty-five (25) years. Lessee may terminate the lease at each annual anniversary by providing Lessor with three (3) months' notice. 4) Rent: Verizon Wireless proposes an annual rent amount of twenty four thousand and 00/100 dollars ($24,000.00) to be paid in equal monthly installments commencing at the start of construction. 5) Rent Escalation: The monthly rent shall increase by three percent (3%) over the rent paid during the previous year. 6) Option: Verizon Wireless to pay $500.00 for initial option period of twelve (12) months. Lessee to pay $500.00 for additional 12-month option period (if necessary). 7) Signing Bonus: Verizon Wireless to pay a one-time signing bonus of $4,000 upon full execution of the Agreement. 8) Commencement: The first day of the month in which notice of exercise of the option is effective. 8700 Auburn Folsom Road, Suite 400 Granite Bay, CA. 95746 Fax (916) 781-5927 9) Testing: Prior to lease commencement, Lessor shall provide access allowing Verizon Wireless to conduct any necessary inspections, surveys, and tests to determine the suitability of the property to Verizon Wireless. 10) Access: 24 hours a day, 7 days a week. 11) Utilities: At Verizon Wireless' expense, power and telco will be brought to the leased premises. 12) Title: A Memorandum of Lease will be recorded. 13) Insurance: Each party will maintain comprehensive general liability and property liability insurance with liability limits of not less than $2,000,000.00 for injury to or death of one or more persons in any one occurrence, and $1,000,000.00 for damage or destruction to property in any one occurrence. 14) Contingency: The lease is contingent upon Verizon Wireless' ability to obtain permits and use the premises as a communications facility. 15) Confidentiality: Landlord will keep the terms and conditions contained herein. Landlord will also keep the details of ensuing negotiations confidential between the parties to the extent allowed by law. This letter is intended to be a nonbinding letter of interest entered into solely for the purpose of reflecting the interest of the parties in negotiating with one another and to summarize the basic business terms being proposed for the lease agreement. No portion of this letter is to be considered legally binding nor shall the provisions of this letter constitute any form of representation or warranty from one party to the other. The final lease agreement is subject to each parry's review, approval and signature.
