AT&T still has one final reviewer to get through but the latest reviewer sent back a few concerns that
I wanted to run by you before I take it through the last stage to clarify a couple more points. On the
attached version of your edited copy of the lease I have added four additional comment blocks with
yellow highlight to make them easy to pick out. The first three are relatively minor I think but do
have your team take a look at the comments anyway just to confirm.
The last is in the Default to Cure Section and AT&T has pushed back very hard on that. I was hoping
you could have your lease reviewer take a look at my comment and provide some feedback or
additional explanation so I can better understand what your agency’s concern area is and maybe
together we can come up with some compromise language that works for both sides. If its easier to
just have whoever is the reviewer on your side call so we can discuss through it that’s fine with me. I
added my cell number to the comment block for easy reference.

I am fine will all the changes or recommendations you highlighted with 2 exceptions. In A8 – we
really do not like this limitation as it could be in the midst of a local emergency that limits our ability
to review documents, however I can understand AT&T’s concerns. So, change the days from 10 to
21 calendar days and 5 days to 14 calendar days, and I think we can agree.
I appreciate your raising the issue on A9, however we think 3% is quite reasonable. South Tahoe
residential property has increased in value an average of 4% annually over the last 10 years. The
development limitations in Tahoe have created an artificial property shortage and the number of
available parcels for development is expected to be severely limited within the term of this
agreement. This is expected to drive property values up at an even higher rate. AT&T has the
option to renegotiate the terms of the agreement at the end of the term if economic circumstances
are such that this endeavor is no longer viable at the 3% inflation rate. Ideally for us, we would tie
the rent inflation to some sort of index, which we expect would result in a much higher rate than
3%. However, we feel it would be unreasonable for us to expect AT&T to take that level of risk with
the rate, and so a fixed rate seems reasonable.

Sorry it took me so long to review these. I’ve been pretty buried lately. I’ve done my preliminary
review before I send it over to AT&T and I noticed a couple items that I wanted to update you on
and/or discuss. I have added a few additional changes to the document. All the changes I added
include a yellow highlight comment block next to them that explains what I changed and why. The
first few are mostly minor textual updates but a few of them may need some additional discussion
after you read my notes.
Can you take a look at each of the yellow highlighted comment blocks I added and provide some
input/feedback on those items? I know some of those changes may be from your attorneys rather
than yourself so in terms of providing feedback I’m open to whatever works well for your team. If
you think you can address them in writing that works for me. If it’s something you think you and I

objections. It will still need to go through AT&T’s attorney review but they prefer to review a lease

redlines you provided to me in early March which includes the changes we discussed below (the
$1,500 monthly rent and I kept the First Right of Refusal Language paragraph in the lease and added
the additional clarification language I proposed).
Could you please present this lease draft to your attorneys and get their review and then provide a
draft back to me for presentation to AT&T? Please make sure the copy returned to me contains all
changes (both yours and the your legal attorneys edits) still in track change mode so I can clearly
detail all differences from the original lease draft.

To further help understand their perspective, it is fairly common for them to pay only
$1,000 per month on an entire new build site’s rent so they are already going well over
their budget with the $1,500 monthly to your agency combined with the rent they will
expend on Verizon’s tower lease as well.
Please share this information with your GM and CFO and let me know if we can
proceed with this deal for $1,500 monthly rent.

Hello Shannon,
Per our conversation this morning, please find the notes below for you to take to your
management chain and determine if they would be acceptable lease terms:
1. The $3,000 per month rent. I need to counter offer with a maximum rent of
$1,500 per month. While we understand that Verizon provided $3,000 per
month in rent for their lease, that amount was driven by the size of the area they
are taking up as well as the reality that they only had to rent from one entity,
STPUD, so they could afford to pay a much higher rent than normal sites to one
entity. In our case, we are using 1/3 of the space as Verizon and in AT&T’s case
we still need to budget for paying both your agency rent as well as rent to
Verizon to put up our equipment on the tower. In order for this project to be
economical for AT&T we cannot offer more than $1,500 in monthly rent. This
provides us reasonable room to pay rent to both entities and not have the total
rent for the site exceed a viable budget.
2. Right of First Refusal: You indicated that you’d like the entire Right of First
Refusal section removed. That is an important section for AT&T. Per our
discussion, in cases where the property owner is concerned about this section, I
am authorized to add the following language (in blue text below) that provides a
more detailed definition of when this section applies. So, we would propose
keeping the existing Right of First Refusal language (rather than removing it) and
then adding the following section in addition to it. Can you please review this
additional language below and let me know if this would ease your concerns
with this section enough to allow this section to remain in the lease?
“The rights granted by this Section shall not apply to any transaction other than the
assignment by Landlord solely of the rental stream hereunder under the terms of
Section 22. Without limiting the generality of the foregoing, nothing in this Section shall
be construed to apply to (1) Landlord’s grant of a security interest hereunder in
connection with any mortgage, loan or other extension of credit; (2) Landlord’s
retention of a contractor to manage and maintain the Property or a portion thereof for
a consideration that includes, in whole or in part, the right to share in rental payments
or other revenues; (3) Landlord’s retention of a contractor to collect rents or other
accounts receivable on Landlord’s behalf; or (4) the assignment of revenue under any
agreement other than this Agreement or of rentals due from any tenant of Landlord
other than Tenant.”

Yeah, we will use the same trench/easement area as Verizon. We do have

I sent the TRPA form in a separate email. Overall we are fine with the
layout. I am surprised that your plans reflect pulling a separate fiber and
power line. I would hope that these can be consolidated with Verizon,
but that is up to you all. I presume the easement indicated overlays with
Verizon’s easement. I have not checked the layout, but only a single
easement will be issued for this.
We will not be issuing an access easement as shown on the plans. We will
cover access as part of the agreement instead.

Hello Shannon,
My apologies for the long delay in getting back to you about the
collocation of AT&T on the Verizon facility being installed. It’s been a very
busy few months. I have attached three major items that require your
attention at this time.
1. The first item is a set of Site Plans (100ZD Rev 1 file) that would
serve as Exhibit 1 to the lease draft which is also attached. Please
review these site plans created by Borges Architectural Group and
dated 10/29/19 for you agency and confirm if the design layout and
plans look acceptable to your agency?
2. Secondly, we’d like to submit these plans to TRPA in the near future
to get the permitting started since that tends to be the longest
timeline on these projects so if you do approve the site plans as is
can you then print and sign the Linea Public Service Application
document I also attached? You’ll want to sign on the 2nd page
under the Authorization for Representation. As clarification as I
know it’s a common concern with larger agency’s that we work
with, your agency’s signature on this document simply allows us to
start the permitting process and would not allow us to start any
actually building until after the lease language is agreed too and
signed. The signature simply allows AT&T to take the risk of paying
for and starting the permitting process with the hope that we will
successfully work out way to a signed lease agreement.
3. The last item is the lease draft agreement. Can you please present
the attached Option and Lease Agreement to your agency’s
attorneys for review and redline?
a. Note: I know we discussed trying to make this draft mimic
Verizon’s lease terms to cut down on review time. Problem
was when I reviewed both leases side by side it became
difficult if not impossible for me to pick out what differences
were due to Verizon having different standard language and
what differences existed because they were important to
STPUD. I’d like to keep unnecessary changes to a minimum
as it tends to cause a lot of issues with getting AT&T to
approve the lease language. So either we can try and have
your attorneys work with the draft as is or alternatively if
you could give me a list of major concerns you had when you
were in negotiation with Verizon I may be able to go through
our lease and determine if those concerns also apply in this
case, and if they do, then pull whatever resolution language
you agreed to with Verizon out of the Verizon lease and
insert it in this lease. Let me know which you think will be
easiest on your staff to process.

Hello Shannon, Chris, and Jeff,
Given the Verizon contract requires us to negotiate ground space
separately with you I wanted to provide a preliminary idea. I’ve attached a
copy of our survey of the site area and on the 2nd page I put a red box and
a note. My initial thought is in order to avoid tree removal and to create
our own separate ground space from Verizon we’ll create a separate
fenced area to the southwest of the Verizon compound for the AT&T
ground equipment. We’ll only make it as large as it needs to be for just
our equipment which I would expect will be something in the ballpark of
400 square feet or so.
I’m understand you may not be able to give this a 100% buyoff for NTPUD
without possibly running it up the chain of command but I wanted to run
it by you before we started piecing together more detailed designs for at
least a first look. Do you foresee any particular problems with use of this
location for ground equipment? If not, I’ll go ahead and get our team
working on some engineering designs that will outline it in greater detail
and I can start working on a draft lease to send to your agency for leasing
that additional space.

Site Address: No site address; see pin and general directions below.
Directions: 38.924086°, -119.966767° is the tower pin location. The
easiest method will probably be to put your phone directions headed to
Lake Tahoe Community College at 1 College Drive, South Lake Tahoe, CA
96150. Our site will be one turn past the college on the south side of the
road and leads up to the back side of the Water District facility that is next
door. See image below which may be helpful. Be aware that it’s a Verizon
collocation but the tower is not built yet so don’t expect to see an actual
tower at the spot.
